Job summary

Carta Law Contracts team – EMEA is seeking an Engagement Letter Lawyer to manage engagement letters for sophisticated investment funds and asset managers. You will work with fellow lawyers and paralegals, handling high-volume pre-M&A work with AI-backed tools and minimal supervision.

You’ll report to the Legal Director and serve as a trusted day-to-day contact for clients, ensuring timely, practical advice and efficient contract workflows across our enterprise.

Qualifications

• 5+ years’ PQE with independently negotiated engagement letters and similar pre-M&A contracts.
• Licensed to practise in UK/Europe/US/Canada.
• Familiar with financial services and sophisticated clients.

Responsibilities

• Review, negotiate and finalise engagement letters from client playbooks.
• Be the day-to-day contact for clients on engagement letters, liaising with counterparties.
• Feed back positions and fallback terms to keep client playbooks current.
• Support the wider Contracts team on NDAs and other routine contracts.
• Use AI-backed tools in daily work and share learnings with junior lawyers.

You’ll be joining our Carta Law Contracts team – specifically within the Contracts – EMEA function.

Our Contracts team manages the full lifecycle of commercial contracts for clients – from first review through to execution. You'll be the direct day-to-day contact for sophisticated investment fund and asset manager clients, working alongside fellow lawyers and paralegals. This team delivers high volumes of pre-M&A contract work at speed, supported by AI-backed tools

As Engagement Letter Lawyer, you’ll report to the Legal Director and handle engagement letters with minimal supervision.

• Review, negotiate and finalise engagement letters for our clients, working from client playbooks and keeping to agreed turnaround times.
• Be the day-to-day contact for clients on engagement letter matters, liaising directly with counterparties and resolving queries without escalation where you can.
• Keep client playbooks current by feeding back the positions and fallback terms you see in negotiations.
• Support the wider Contracts team on NDAs and other routine commercial contracts as volumes require.
• Use our AI-backed tools in your daily work, give product feedback, and share what you learn with paralegals and junior lawyers.

About You

• Transactional experience. You have 5+ years’ PQE and have independently negotiated engagement letters and similar pre-M&A contracts.
• Licensed to practise. You are qualified to practise law in UK / Europe / US or Canada.
• Familiar with financial services. You have worked with asset managers, investment banks or other financial services firms and understand their expectations.
• Commercially minded and client-focused. You give crisp, practical advice and build trust with sophisticated clients.
• Tech-savvy. You are comfortable with AI-backed legal tools, and an interest in legal tech is a strong plus.
• A self-starter. You take ownership, prioritise well in a fast-paced environment, and look for ways to improve how we work.
