Job summary

Nscale is seeking a Senior Manager, Corporate Governance to lead day-to-day governance and entity-management across its EMEA operations. You will partner with senior leaders and the SVP Legal, Corporate & M&A to build a scalable governance framework as the company grows internationally.

The role demands strong organisation, ownership from day one, and the ability to drive structure and momentum in a fast-moving environment. UK-based with global governance exposure.

Qualifications

• 8–12 years of corporate governance, company secretarial, or entity-management experience.
• Qualified chartered governance professional or equivalent experience.
• Strong knowledge of UK corporate governance and company-law requirements.
• Experience managing multi-jurisdictional entities and working with external providers.
• Excellent organisational skills with multiple deadlines.
• Collaborative approach with senior stakeholders across international business.

Responsibilities

• Manage global subsidiary governance and entity-management activities (incorporations, maintenance, restructurings, dissolutions, filings).
• Maintain corporate records, registers, governance calendars and systems.
• Support Board and committee administration with senior leaders and Corporate Secretary function.
• Prepare and coordinate Board materials, resolutions, minutes and consents.
• Maintain delegated-authority frameworks and governance policies.
• Coordinate with external counsel and internal stakeholders to meet local requirements.
• Monitor changes to governance requirements and implement updates across the group.
• Drive process improvements and standardisation across governance practices.
