Job summary

FTI Consulting in London seeks a Director in Transaction Services to lead financial due diligence across European and global transactions. The role focuses on delivering high-quality FDD, coordinating with clients and advisers, and guiding the team through complex deals.

You will manage engagements, mentor juniors, and maintain strong relationships with senior stakeholders to ensure successful outcomes.

Qualifications

• 4–6 years post-qualification Transaction Services experience.
• Experience delivering mid-size to large FDD projects.
• Direct client communication on FDD engagements.
• Interaction with M&A bankers, lawyers and advisors.
• Mentoring Seniors/Consultants and reviewing analyses.
• Experience with deal pricing, SPA adjustments and equity bridge.

About The Role

The Transaction Services team at FTI Consulting offer a forward-looking perspective to the fast-paced European and global transactions market. Whether representing buyers or sellers, we offer a comprehensive financial due diligence service leading to value-related advice and hands-on support across a full spectrum of industries.

What You'll Do

We are looking for a Director level candidate with significant 4-6years post-Qualification TS experience to join our London based Transaction Services team.

• Analysis and modelling of financial performance (past and future) of an acquisition target
• Overall lead responsibility for delivery of mid-size complex projects (direct with Partner) or responsibility for standalone divisions / sections of FDD on larger projects (this will include buy or sell side, refinancing, financial restructuring and equity raising transactions)
• Direct communication with the clients on key issues relating to the FDD engagement
• Direct communication and liaisons with M&A bankers, commercial advisors, lawyers, financing providers, W&I insurers and other relevant parties to the M&A process on appropriate presentation and impact of diligence findings
• Supervision and mentoring of Seniors Consultants and Consultants, taking full responsibility for review of their analysis / sections and being accountable for their outputt
• Identification of key value drivers, SPA price adjustments, and deal breakers
• Full responsibility in preparation of the Equity Bridge and all the corresponding price adjustments
• Business development including regular client catch ups, identification of target opportunities and keeping on top of industry and M&A developments in the marketEffective communication with senior members of the team and clients
• Proactive development of internal and external relationships

What You Will Need to Succeed

Previous significant transaction services consulting experience working within one of the 'Big 4'

Relevant transaction services experience, consulting either with private equity or venture funds with deals in excess of $100m

Transaction experience to include due diligence, market entry, financial restructuring, independent business review and business plan validation

Experience in identification of key deal financial and commercial issues

Demonstrable experience in leading the delivery of large complex, multi geography
