Job Description

The Director, Managing Counsel will serve as the primary legal coverage lawyer for all of the investment bank's M&A and financial advisory matters, advising both industry and product coverage groups and partnering with senior leadership.

Main Responsibilities:

1. Draft, review, and negotiate M&A engagement letters and related documentation
2. Review and advise on fairness opinions, proxy disclosures, and valuations
3. Provide legal support to the business in relation to capital markets transactions and related documentation, specifically: underwriting agreements, offering documents, placement engagement letters
4. Provide legal advice on M&A transactions, with a focus on public company transactions
5. Advise on ECM, Fixed Income Capital Markets, and Private Placements
6. Prepare standard forms, policies, and procedures for the investment banking business
7. Manage outside counsel on investment banking transactional matters
8. Provide support to other lawyers on the legal team
9. Provide relevant training to the business on a wide range of M&A matters
