Job description

Corporate Transaction Lawyer
Location:Manchester (Hybrid Working Available)

Are you an experienced corporate lawyer with a passion for high-quality transactional work? We’re working with a prestigious global law firm that is seeking a talentedCorporate Transaction Lawyerto join their dynamic and growing team in Manchester.

This is a fantastic opportunity to work as part of an innovativeteam, providing specialist support on complex cross-border transactions. You’ll collaborate with deal teams across the firm’s international offices, working on due diligence for a diverse range of high-value transactions. Matters may be corporate in nature, but equally they branch into wider commercial agreements, offering a broader range of work than most roles.

Key Responsibilities:

  • Carry out in-depth due diligence on corporate documents, contracts, leases and licence agreements and widertransactions.

  • Prepare clear, detailed summaries highlighting key provisions and potential red flags, including change-of-control triggers, anti-assignment clauses, and MFN clauses.

  • Liaise with Associates, Counsel and Partners to provide updates, seek guidance and deliver accurate legal analysis.

  • Utilise Virtual Data Room tools to access and manage due diligence materials.

  • Embrace cutting-edge legal technology, including AI and legal project management tools, to deliver efficient, high-quality work.

About You:

  • Qualified solicitor in England & Wales (or equivalent US qualification). Candidates qualified in other jurisdictions with QLTS will also be considered.

  • Proven experience conducting due diligence in transactions with a corporate or commercial context

  • Excellent organisational, analytical and technical drafting skills.

  • Comfortable learning new technologies to enhance efficiency.

  • Strong interpersonal skills and the ability to communicate effectively at all levels.
