Wilson Sonsini has an immediate opening for a motivated paralegal to join the London Corporate team. This position will be an essential administrative resource for attorneys.

This role is therefore available as a hybrid work schedule (initially four days in office, one day remote).Core hours for this role can be flexible.

Essential Duties and Responsibilities:

The Corporate paralegal will work closely with attorneys on private and public companies.

RESPONSIBILITIES AND ACCOUNTABILITIES:

Responsibilities include but are not limited to:

  • Prepare routine corporate documents, such as incorporation documents, board and shareholder actions, indemnification agreements, and third-party agreements.
  • Process share and option administration, including drafting agreements, and preparing reports.
  • Manage capitalization processes and records in equity management platforms.
  • Conduct corporate legal research.
  • Prepare and manage corporate filings.
  • Assist on venture capital financings, debt financings, mergers, acquisitions, and public offerings.
  • Handle correspondence to clients, holders, directors, and investors.
  • Handle due diligence and closing processes.
  • Handle daily corporate maintenance work.
  • Assist with year-end matters and notices to clients.
  • Organize client records and maintain files.
  • Input time entry daily.

Education and/or Work Experience Requirements:

  • Education: Legal background with either LLB or CILEX qualification.
  • Prior experience as corporate paralegal.
  • Strong working knowledge of corporate tasks.
  • Experience with UK and/or US corporate laws.
  • Experience in capitalization management platforms such as Shareworks and Carta.
  • Experience with DocuSign platform.
  • Excellent computer proficiency (MS Office – Word, Excel and Outlook).
  • Proficient with Excel spreadsheets.
  • Detail-oriented and organized, with excellent analytical skills.
  • Excellent verbal and written communication skills, including ability to effectively communicate with internal team members and clients.
  • Must be able to work under pressure and meet deadlines.
  • Ability to work independently and to carry out assignments to completion within parameters of instructions given, prescribed routines, and standard accepted practices.
