Job description

We are hiring a Corporate Paralegal in the UK to assist with a range of corporate matters, including M&A transactions, company secretarial, operations and structures, employment governance and reporting matters. This role sits within our corporate legal team and offers the opportunity to work with different teams in a fast-paced environment.

Key Responsibilities

  • Corporate Governance
    • Maintain corporate records, including board minutes, shareholder registers, and Companies House filings with the support of external counsel
    • Assist with the preparation of board and shareholder resolutions
    • Support the management of subsidiary governance and group structure documentation
    • Tracking key dates
  • Transactional & Compliance Support
    • Assist with preparation of ancillary documents such as NDAs, engagement letters, and corporate authorisations
    • Coordinate signature pages
    • Assist with collecting information for regulatory filings, KYC/AML checks, and internal compliance processes
  • Contract Management
    • Maintain records, including updating the contract management system
  • Legal Operations
    • Help streamline legal processes and workflows
    • Liaise with external counsel, business stakeholders, and other departments
    • Provide general administrative support to the legal team

Required Skills and Experience

  • Bachelor’s degree required
  • 2+ years of experience, preferably in a corporate legal environment at a law firm or a corporation
  • Knowledge of company secretarial practice
  • Excellent attention to detail and organisational skills
  • Strong written and verbal communication skills
  • Proficiency in Microsoft Office; exposure to legal tech platforms (e.g., DocuSign)
  • Ability to handle confidential information with discretion and integrity
  • Able to handle multiple tasks
  • Experience in a publicly listed company with a number of subsidiaries and cross-border filings desirable.
