Job description

Harbor is seeking a Contracts Counsel to join our growing team. We provide strategic, technology, and operational services to clients in the legal, professional, and financial services industries. Our Contract Specialists are highly talented professionals with expertise across various industries and disciplines. Our employees are our greatest competitive advantage. The Vendor Governance Solutions (VGS) team assists clients in procuring goods and services, reducing costs, optimizing processes, and enhancing stakeholder value.

As part of Harbor's VGS team, you will work closely with project team members and client personnel to review vendor contracts, support negotiations, and adhere to contract administration processes. Your role is to mitigate risk and create value by developing contracts that meet or exceed client needs.

This is a fully remote role, eligible anywhere in the US or UK, with little to no travel involved.

Responsibilities:
  1. Manage contract administration, including tracking, analyzing, reporting key milestones, incentives, notifications, and expiration dates, and supporting negotiation preparations.
  2. Redline and edit contract language, suggest alternative terms based on engagement needs.
  3. Assist with initial legal reviews to ensure key terms are included, liaising with in-house legal counsel for final approvals.
  4. Coordinate with department leaders on upcoming contract renewals.
  5. Participate in negotiations as a liaison between internal teams and vendors on key contract terms and pricing.
  6. Enter and update contracts in the repository system accurately.
  7. Identify key contract terms and communicate pertinent information to end users.
  8. Serve as the main contact for questions regarding contracts.
  9. Develop and manage standard agreement templates, including NDAs, contracts, and Statements of Work.
  10. Support vendor onboarding, relationship management, and off-boarding processes.
  11. Facilitate contract management meetings with stakeholders.
Qualifications:
  • Juris Doctor (JD) required.
  • 4-6 years of experience in a professional services organization, with expertise in contract development, review, negotiations, and management.
  • Ability to interpret complex policies and legal language clearly.
  • Strong communication skills, both oral and written.
  • Proactive, responsible, and organized.
  • Sourcing experience is a plus.
  • Customer-focused with excellent follow-up skills.
  • Data analysis skills with the ability to recommend actions.
  • Commitment to quality and accuracy.
  • Strong teamwork and interpersonal skills.
