Job Description

The Role

The role will support the Company Secretary team in ensuring that the Group maintains high standards of corporate governance across all its entities and complies with all statutory requirements. The successful candidate will support key governance projects and be an integral part of the department's change process.

Responsibilities

  1. Assist with statutory compliance work for UK subsidiary companies, ensuring all relevant documents are filed at Companies House in accordance with statutory deadlines and corporate records are maintained and up to date.
  2. Assist in maintaining the global entity management system (Diligent Entities) to ensure details for Group subsidiaries are current, and support the production of the Group Structure Chart.
  3. Arrange for the preparation and execution of corporate documentation resolutions, powers of attorney, and proxies for routine business, including organising notarisation and/or apostillation if required.
  4. Assist with administration and support for Board and Committee meetings, including paper collation and uploading to the board meeting platform (Diligent Boards).
  5. Coordinate and support the creation and maintenance of the Group's annual board and committee meeting calendar, with support from the Assistant Company Secretary.
  6. Manage the calendar of the Independent Non-Executive Directors (INEDs).
  7. Assist with completing KYC, statutory, and regulatory forms and documents required by registrars, agents, banks, and clients, with support from the Assistant Company Secretary.
  8. Support the day-to-day administration of boards and committees.

Skills and Experience

  • Ideally CGI qualified or partly qualified, with relevant work experience.
  • Knowledge of the Companies Act, UK Corporate Governance Code, or Wates Corporate Governance Principles.
  • Strong written and analytical skills, with meticulous attention to detail.
  • Excellent administrative skills, proficiency in MS Office, and experience with Diligent Entities and Diligent Boards is preferred.
  • Excellent interpersonal skills, capable of communicating effectively at all levels, including with Executive and Non-Executive Directors and senior management.
  • Ability to work under pressure and meet deadlines.
