Your new company

This is a very exciting role to work at the heart of an interesting and philanthropic charity in the financial sector. I, for one, have never come across a charity involved in their kind of work, and can only imagine that the governance in such a regulated environment would be massively interesting. This organisation will provide a purpose-driven experience; they directly contribute to positive social change by supporting various organisations through ethical financial services. Their collaborative environment, learning opportunities, and the chance to balance profit with purpose make them an appealing choice for those passionate about making a difference and working in the third sector. Harbouring and consistently promoting a flexible work environment, this role is part-time (18 hours per week), requiring 1 day in their office, which is located south of London.

Your new role

You will act as Company Secretary and Head of Governance for the charity, line managing an EA/Board Secretary and working together with the wider organisation, including c-suite employees and those on the Board, to ensure their governance and secretariat is run to a high standard, meeting the various charity and financial regulations that they operate within. It is an extremely exciting opportunity offering you the chance to oversee and impact critical aspects of the organisation’s operations. This includes maintaining the governance Framework, ensuring appropriate terms of reference for key committees, and servicing their Board. You will provide advice on strategy, legal matters, and compliance with articles of association and relevant laws. Additionally, you will manage committee meetings, handle company secretarial administration, and play a crucial role in shareholder communication and compliance. Your work will undoubtedly contribute to the social purpose this charity supports.

What you'll need to succeed

You should be CGI/ICSA qualified with several years of senior company secretarial and governance experience within highly regulated public/third sector organisations. You must be proficient in charity law and commercial law, able to oversee legal relationships and provide legal guidance and advice. To succeed, you should be comfortable operating at senior stakeholder level, able to accurately service a Board and work together to promote and accomplish the purpose and values of the organisation. The ideal candidate is analytical, articulate, and ambitious; excited by the prospect of strategically strengthening, whilst efficiently upholding the smooth functioning and excellent output of this organisation's governance.
