Join a diverse, inclusive, and engaged Company Secretariat Team that demonstrates governance as a facilitator, whose responsibilities will include supporting strategic planning, underpinned by right-sized governance.
We are a talented, supportive and experienced group of Governance professionals, with a fantastic team culture. Our team is arranged as two operational units to deliver PLC Governance and Subsidiary Governance.
The PLC Governance part of the Team provides support in terms of compliance with Company law, FCA requirements, UK Listing Rules, DTRs, MAR, the UK Corporate Governance Code and other regulations. The Team also maintains the relationship with the Company’s Registrar and provides governance advice and administrative support to our Board of Directors and the Board Committees.
The Subsidiary Governance part of the Team provides support to the Group’s legal entities, including its branches, to discharge their statutory and regulatory obligations in the UK. The Team also has oversight and provides guidance to its overseas subsidiaries to ensure the implementation of best-practice corporate governance throughout the Group, being mindful of local laws, regulations and customs.
This role sits within Subsidiary Governance. Reporting to the Senior Assistant Company Secretary, it’s a key role that will help to deliver Company Secretariat support to the Group’s UK and overseas entities, including the overseas branches.
Process Due Diligence, KYC or other requests for Director and Company information.
Arrange subsidiary company Board Meetings to support the Senior Assistant Company Secretary – Subsidiary Governance, which may vary from the approval of the annual accounts to supporting time-critical, event-driven corporate actions.
Prepare other necessary paperwork, including making filings (for example, branch register filings, annual accounts and confirmation statements), as well as processing Legal Entity Identifier renewals for the Group.
Maintain the statutory records for Group entities.
Prepare the Group Structure Chart.
Process authorised signatories updates, maintain the master authorised signatory matrix, arrange for signatures and assist with the legalisation of documents.
Arranging Powers of Attorney.
Liaise with internal and external auditors and respond to audit requests.
Update and maintain the Company Secretariat sections of the Group website and the internal intranet site (the Hub).
Support on key annual Company Secretariat deliverables, including subsidiary company Annual Reports, and assist with the review and update of key corporate documentation.
You will be expected to take ownership of:
The relationship with Kube and the administration of that database to maintain the Company’s Statutory records.
Horizon scanning for the latest corporate governance developments for Subsidiary Governance.
Be part or recently qualified Company Secretary.
Experience within Financial Services or at a global company (public or private).
Comfortable with authorised signatories, delegated authorities and KYC processes.
Strong interpersonal skills, including building and maintaining relationships across the business.
Keen interest in Company Secretariat matters.
Excellent communication skills.
Meticulous attention to detail.
A self-motivated team player.
The ability to work with the utmost integrity in a fast-paced, dynamic, challenging environment.
