Company Secretarial Associate
The Company Secretarial department provides bespoke company secretarial services to its clients, handling everything from basic compliance to high-level advisory work. Responsibilities include preparing compliance statements, statutory documents, amendments to company constitutions, and liaising with Companies House, HMRC, solicitors, clients, and third parties.
The role involves assisting with day-to-day company secretarial compliance tasks, supporting consultancy work, and contributing to business development.
Responsibilities:
- Prepare and review compliance statements and statutory documentation, including board minutes.
- Manage billing processes for clients.
- Follow procedures to minimize risk, such as timely processing of stock transfer documents and payment of stamp duty.
- Handle new client onboarding, including forms and engagement letters.
- Prepare documentation for changes in share capital, including resolutions for capital reductions, share purchases, and reorganizations.
- Assist with incorporating companies with complex share structures and amendments to articles.
- Manage paperwork for administrative restorations.
- Communicate with HMRC, liaising with notaries, solicitors, embassies, and the FCO for legal documentation.
- Keep clients updated on statutory requirements and deadlines.
- Ensure deadlines are met and communicate issues to senior team members.
- Assist with administrative duties and attend client and board meetings as needed.
Personal and Professional Qualities:
- Develop knowledge of UK law, focusing on the Companies Act 2006.
- Ability to conduct research and problem-solving using relevant legal and statutory resources.
- Willingness to pursue professional qualification (ICSA).
- Minimum of two years' experience in a similar role.
- Proficiency in computer applications such as Excel, Word, and Blueprint.
- Strong technical, analytical, numeracy, and literacy skills.
- Excellent communication skills, both verbal and written.
- Strong organizational and time management skills, with proven planning and prioritization abilities.
- Ability to work under pressure accurately and efficiently.
- Problem-solving skills and self-motivation to adapt to new scenarios.
