Responsibilities

  • Support with Group board and committee meeting preparations.
  • Manage end-to-end meeting cycle for Subsidiary Boards.
  • Professionally interact with internal and external contacts.
  • Draft formal documents for annual meetings.
  • Maintain registers to record share movements.
  • Monitor cash and share transactions.
  • Produce quality reporting from share data.
  • Assist with M&A responsibilities.

Job Description

This role offers an opportunity to contribute to the strategic heartbeat of the organisation.

Reporting to the Deputy Company Secretary, you'll play a key role in the team as we manage Board and Committee operations and support high-level decision-making processes, maintain statutory records, ensure company compliance, and deliver shareholder services.

This role is ideal for a detail-oriented professional with a passion for corporate governance, who thrives in a fast-paced and collaborative environment and has a knack for navigating complexity.

This is a permanent role to be based at our London office, or at our Harrogate office, Yorkshire.

Responsibilities

  • To support with Group board and committee meeting preparations including collating agendas, following up on reports for meeting packs, collating meeting packs and their distribution, catering, room bookings, coordination of meeting presenters/attendees
  • To work independently in undertaking Board administration for a number of Subsidiary Boards and Committees, managing the end-to-end meeting cycle, including liaising with Chairs' to agree agendas and preparing minutes
  • To deal professionally and effectively with internal and external contacts including board members and other senior individuals
  • Lead on the arrangements and drafting of formal documents in relation to annual LLP Members' meetings and subsidiary AGMs
  • Maintain, with appropriate oversight and support, registers to accurately record share and share award movements
  • Ensure that cash and share transactions are monitored and funds are received and reconciled in a timely manner
  • Analyse share related data from internal and external sources in order to produce quality reporting for senior management and finance
  • Assist in the preparation of data required for annual share plan tax filings
  • To assist with the departments responsibilities in relation to M&A, including transaction-related and integration tasks

  • Demonstrable experience in a Company Secretarial role
  • Excellent time management and flexible approach to working
  • Ability to work effectively as part of a team
  • Planning & organising skills including managing priorities to deadlines
  • Excellent verbal and written communication skills
  • Ability to work independently

Desired:

  • Working towards (or have achieved) CGI qualification
