The role:

This role is integral in providing proactive support to the Company Secretarial team. You'll be responsible for maintaining statutory records, assisting with corporate filings, and preparing associated documentation.

Utilising relevant knowledge and research capabilities, the role also supports board processes and decision-making for Group companies, especially for Tier 3 companies and below. When new governance and legal requirements arise, the Assistant helps assess impacts and prepares board papers, templates, policies, and procedures.

What you'll be doing:

Group Governance arrangements
  • Support Senior and Assistant Company Secretaries in governance support to Tier 2 subsidiary boards and GEC.
  • Support governance to subsidiaries below Tier 2, including deputising as needed.
  • Research implications of new legislation, regulation, and guidelines, highlighting impacts on SJP.
  • Draft first versions of board/committee papers, file notes, and memorandums.
  • Support maintenance of the Governance Hub, including updating procedures.
  • Triaging governance queries and researching responses.
Corporate Administration
  • Draft statutory compliance submissions for Group companies and update corporate records.
  • Handle filings with Companies House, FCA submissions, and documentation for liquidations or strike-offs.
  • Draft and submit stock exchange announcements.
  • Manage Powers of Attorney and maintain related records.
Shareholder/Investor Relations and Support
  • Assist in preparing corporate reports and respond to shareholder queries.
  • Understand corporate governance and UK legal frameworks, ideally with a legal qualification.
  • Develop understanding of company law, listing rules, and governance.
  • Conduct research, offer solutions, and seek continuous improvement.
  • Be organized, detail-oriented, and capable of scrutinizing complex documents.
