Job description

Commercial Counsel - Crypto Firm - 8 month FTC

My client, a leading international crypto firm, is looking to hire a counsel to join their impressive legal team in London. This role will initially be for 8 months with potential to become permanent. Responsibilities include:

  1. Drafting and Negotiating Contracts:
    • Terms of service and user agreements for crypto platforms
    • Smart contract terms (in collaboration with developers)
    • Token purchase agreements, SAFTs (Simple Agreement for Future Tokens), and private sale agreements
  2. Regulatory Compliance:
    • Ensuring the business adheres to relevant financial regulations (e.g., AML/KYC, securities laws)
    • Advising on compliance with jurisdiction-specific crypto laws (e.g., SEC in the U.S., MiCA in the EU)
    • Assisting with registration of entities, obtaining licenses (e.g., MSB, VASP), and engaging with regulators
  3. Risk Management and Legal Structuring:
    • Structuring the business entity or token ecosystem to mitigate legal risks (e.g., offshore jurisdictions, DAOs)
    • Providing legal advice on structuring options
