The Opportunity

EY's Transaction Forensics – Sale and Purchase Agreements (SPA) team provides expert support to clients, investment banks, lawyers, and deal teams on Mergers and Acquisitions (M&A) pricing mechanisms and the accounting aspects of SPAs, including post-deal Completion Accounts. You will assist clients in SPA negotiations and interact with deal teams and clients across the transaction lifecycle.

Your Key Responsibilities
  • Lead and deliver advice on price adjustment mechanisms in M&A transactions, working with clients, bankers, legal advisers, transaction diligence teams, and other SPA team members.
  • Analyze cash, debt, and working capital adjustments, prepare pricing schedules, review financial aspects of the SPA, and assist in the review of Completion Accounts and Leakage reviews.
  • Review and steer the delivery of Transaction Forensics engagements, ensuring quality and adherence to timelines and budgets.
  • Lead client calls, explain outputs, and liaise with other advisors and EY colleagues.
  • Ensure compliance with EY's Quality and Risk Management standards.
  • Advise on negotiations, providing detailed and compelling outputs.
  • Provide insights and recommendations leveraging your technical and commercial expertise.
  • Build relationships with internal and external stakeholders to support career development.
  • Manage and coach junior colleagues throughout the performance year.
Skills and Attributes for Success

Strong interpersonal skills and risk management are essential. You will work closely with due diligence teams to identify opportunities and mitigate risks, developing a strong internal and external network. This role offers stimulation, challenge, and career development in a key firm specialization.

Minimum Qualifications
  • Fully qualified chartered accountant (e.g., ACA/ACCA/CA/ICAS/ICAEW or international equivalent).
  • Significant experience in M&A transactions at a senior managerial or equivalent level.
  • Expertise in financial analysis, modeling, testing, and scenario documentation.
  • Strong technical and commercial knowledge.
Preferred Qualifications
  • Experience reviewing SPAs and pricing mechanisms, preferably with SPA team experience.
  • Solution-oriented problem solving and collaborative management approach.
  • Strong negotiation skills and strategic advising capabilities.
  • Ability to handle multiple priorities and sensitive situations.
  • Excellent communication skills for client and advisor interactions.
