Job description

Firm: Premier Lower-Middle-Market Private Equity Sponsor (Industrial & Advanced Manufacturing)

Location: London, United Kingdom

Firm Overview

Our client is a highly distinguished, institutional private equity sponsor headquartered in London, specializing in control investments across the UK and European lower-middle-market industrial, specialized engineering, advanced manufacturing, and industrial services sectors. The firm deploys patient, long-term capital into high-conviction, mission-critical platform businesses with resilient unit economics and significant operational upside. Utilizing a high-touch, thesis-driven investment strategy, the firm partners closely with founder-led businesses, family-owned enterprises, and corporate spin-offs to catalyze organic growth, execute strategic cross-border add-on rollups, and drive systemic operational transformation to deliver superior risk-adjusted returns to its institutional LP base.

Position Overview

The firm is seeking to appoint an exceptional Associate or Senior Associate to join its London deal team, serving as a core engine across the entire investment lifecycle. Positioned at the critical intersection of transaction execution, financial engineering, and operational value creation, the successful candidate will play a frontline role in thesis generation, deal sourcing, complex LBO underwriting, rigorous due diligence, and active portfolio management across the UK and Continental Europe. This role offers accelerated partner-track progression and direct, unmediated exposure to Investment Committee (IC) deliberations, lender negotiations, and portfolio company C-suites.

Key Responsibilities
1. Thesis Generation, Deal Origination & Pipeline Architecture
  • Systemic Market Screening: Deconstruct micro-verticals within UK and European lower-middle-market industrials (e.g., precision engineering, niche automation, testing/inspection/certification, specialty materials, and environmental/industrial services) to identify high-conviction investment themes.
  • Proprietary Sourcing: Cultivate and maintain deep relationships with M&A intermediaries, boutique investment banks, regional corporate finance advisors, founders, and industry executives across the UK and Continental Europe to drive proprietary, off-market deal origination.
  • Initial Opportunity Screening: Rapidly evaluate inbound confidential information memorandums (CIMs) and teaser documentation, performing initial financial, valuation, and strategic fit assessments to determine project viability.
  • Advanced Financial Modeling: Architect, stress-test, and maintain highly sophisticated 3-statement Leveraged Buyout (LBO) models, debt capacity analyses, returns sensitivity matrices (IRR / MoIC), and complex capital waterfall structures.
  • Rigorous Diligence Execution: Lead end-to-end commercial, financial, tax, legal, environmental, and operational due diligence processes. Manage external third-party advisors (Big Four transaction services, legal counsel, insurance brokers, technical consultants) to rigorously stress-test investment hypotheses and identify downside risks.
  • Unit Economics & Quality of Earnings (QofE): Interrogate raw general ledger data, customer concentration metrics, pricing power, and gross margin profiles to evaluate the sustainability of adjusted EBITDA and working capital dynamics.
3. Transaction Execution & Structural Negotiations
  • Investment Committee (IC) Architecture: Draft comprehensive, institutional-grade IC memos and present detailed investment thesis arguments, risk mitigation strategies, and valuation frameworks directly to senior partners and IC members.
  • Transaction Structuring: Assist in drafting and evaluating non-binding Letters of Intent (LOIs) / Heads of Terms, definitive Sale and Purchase Agreements (SPAs/APAs), management rollover mechanics, and sweet equity structures.
  • Debt Capital Markets: Coordinate with senior debt providers, credit funds, and commercial banks across the UK and European leverage markets to negotiate credit facilities, debt covenants, and optimal leverage profiles.
  • 100-Day Value Creation Plans: Collaborate directly with portfolio company C-suite executives and operating partners to execute strategic initiatives, margin expansion programs, and working capital optimizations.
  • Add-On M&A Execution: Lead origination, underwriting, and execution of inorganic add-on acquisitions to accelerate platform scale and drive multiple arbitrage.
  • Performance Monitoring & Reporting: Track key performance indicators (KPIs), monthly operational metrics, and covenant compliance across the portfolio, preparing quarterly board decks and investor reporting materials.
Candidate Profile
  • Professional Tenure: 2 to 4 years of rigorous M&A and financial execution experience within:
  • An elite bulge bracket, elite boutique, or top-tier middle-market Investment Bank (M&A, Industrials, Leveraged Finance, or Restructuring groups) in London or a major European financial hub.
  • A reputable Private Equity fund focused on middle-market / lower-middle-market transactions.
  • A leading Management Consulting firm or Big Four Transaction Services (TAS) team with extensive Private Equity CDD/FDD exposure.
  • Academic Credentials: Bachelor’s degree in Finance, Economics, Accounting, or Engineering with an exceptional academic record from a top-tier university. Progress toward or completion of the CFA charter or an MBA from a premier business school is a strong advantage.
  • Domain & Technical Mastery:
  • Expert-level mastery of LBO modeling, accounting principles, M&A structural mechanics, and debt capital structures.
  • Deep familiarity with industrial business models, manufacturing dynamics, cost accounting, and supply chain fundamentals.
  • Analytical Power & Precision: Exceptional quantitative horsepower paired with a zero-defect mentality. Ability to distill massive, unstructured data sets into concise commercial conclusions.
  • Executive Gravitas & Communication: Flawless written and verbal business English; maturity and confidence to interface credibly with founder-owners, industrial CEOs, lenders, and senior PE partners. Additional European languages (German, French, or Dutch) are advantageous given cross-border deal execution.
  • High-Agency DNA: Entrepreneurial, self-directed, and fiercely pragmatic operator who thrives in a lean, fast-paced, and deal-intensive environment.
