Job overview

We are currently looking for a 4-8 PQE associate/senior associate with proven post-qualification experience in corporate lending to join our team in the London or Glasgow office.

You can expect to have exposure to a wide range of high quality transactions.

Main tasks and qualities

You would typically act on all elements of a financing from term sheet stage, through to closing and post-closing. Your specific areas of responsibility will be the drafting and negotiation of facility agreements and intercreditor agreements, supervising other members of the team, negotiating security documents and liaising with local counsel on multi-jurisdictional matters, ensuring a smooth process to transaction close.

You will be encouraged to build client relationships with our relationship banks and key corporate clients and to have a desire to build on these and develop your own client network with support and guidance from the partners and wider team. Most of our associates will go on a client secondment to further develop personal and firm relationships and enhance their commercial skills.

You would be working as part of a committed and inspired friendly team that enjoys its work and considers itself a leader in its field of practice. All members of the team have frequent client contact.

Typical responsibilities include:

  • Drafting of legal documents;
  • Contributing to department know-how and developing precedent documents;
  • Advising clients;
  • Negotiating with counterparts and leading calls; and
  • Coordinating completion of transactions.

In addition to strong technical skills, you should be able to demonstrate an enthusiasm for business development and strong interpersonal skills as there will be significant client contact, in both the work and business development context. You will be expected to mentor junior members of the team, supervise trainees and work closely with the wider Global Loans team. You will also be expected to build your own cross-practice network within the firm (for example, building relationships with the Global Loans teams in our other offices, the Global Markets, Corporate Transactions and Restructuring and Special Situtions teams).

You would be expected to contribute to the firm's D&I and Corporate Responsibility initiatives, often organised with the firm's key clients.

More generally, Ashurst's Global Loans practice offers specialist advice on:

  • leverage buy-outs and other acquisition finance transactions;
  • real estate finance;
  • infrastructure financing;
  • fund financing;
  • restructurings;
  • strategic and impaired value debt purchases, including loan portfolio sales;
  • specfin financings;
  • high yield financings; and
  • treasury products generally.

Essential skills and experience

Associate/Senior Associate with:

  • Strong general banking experience with a focus on corporate lending
  • Experience of drafting, reviewing and negotiating legal documents in a private practice environment
  • An adaptable ambitious person who is a fast learner, with experience practising on multi-jurisdictional matters
  • A team-player who can work effectively with colleagues at all levels
  • Client facing experience and the ability to understand and respond effectively to client needs
  • Experience of negotiating with counterparts
  • A commercial approach

  • MCLAREN - acting for McLaren on its financing arrangements, internally coordinating with our Corporate and High Yield practice, assisting on their core facilities and ad hoc queries
  • CASH CONFIRMATIONS - acting for Investment Banks alongside our Corporate team on major UK takeovers, recent examples include acting for J.P. Morgan on EP Corporate Group's bid for International Distributions Services plc (Royal Mail), Rothschild on PHP's offer for Assura, acting for Morgan Stanley on Informa's bid for Ascential and acting for Citibank and Goldman Sachs on Aviva's bid for Direct Line
  • CLUB OF BANKS - acted for 5 banks on the pre-IPO facilities for a UK corporate
  • AXPO HOLDING AG - advising the borrower on a JP¥42,000,000,000 sustainability-linked Samurai loan with a syndicate of more than 20 banks and investors in Japan - the first Samurai loan for Axpo Group
  • TRITAX BIG BOX REIT PLC - advising on its £500m syndicated sustainability-linked facilities and £150 million bilateral sustainability-linked facilities
  • BARCLAYS BANK PLC - advising on its term and revolving facilities to support the further expansion of Popeyes Louisiana Chicken in the UK
