HSBC UK Leveraged Finance (“LF”) is seeking an experienced individual to join as an Associate Director.

HSBC UK Leveraged Finance is a national business with approximately 100 colleagues, covering over 350 clients and a diverse range of Private Equity (“PE”) relationships. The business is a market leader, comprising four key areas: Origination, Execution, Financial Sponsor Coverage, and Client Coverage. The customer base varies in size from approximately £100m to over £2bn. The team is sector-agnostic, with most clients owned by private equity firms. Lending for PE buyouts is complex, requiring sophisticated financial modelling, structuring, and sensitivity analysis.

Within Leveraged Finance, the successful candidate will support and structure debt financing for private equity-led investments or acquisitions, oversee due diligence, secure internal approvals including credit, and negotiate legal documentation.

Role Purpose

The Associate Director will assist in originating and leading the execution of bespoke lending solutions to support private equity investments and acquisitions in UK companies. Responsibilities include originating financing opportunities, structuring facilities, managing due diligence, obtaining approvals, and negotiating legal documents.

In this role, you will:
  • Proactively engage in the UK M&A market, representing HSBC and originating debt financing opportunities.
  • Lead negotiations and discussions with sponsors, M&A advisers, and clients, managing complex international transactions.
  • Work with team members to structure and deliver credit facilities, identifying and mitigating risks.
  • Manage deal teams, coordinate with other business units, and ensure timely completion of transactions.
  • Mentor and develop junior team members, promoting performance and professional growth.
  • Foster cross-country and cross-business teamwork aligned with HSBC’s values and growth plans.
To be successful, you will have:
  • Experience in Leveraged Finance and M&A financing, especially involving private equity.
  • Established contacts within the M&A, private equity, or corporate sectors.
  • Expertise in credit analysis, lending, and negotiating complex solutions.
  • Strong understanding of risk management and regulatory compliance.
  • A proven track record of managing complex projects and leading teams.
  • Excellent communication skills, with the ability to analyze and summarize high-volume information.
  • Relevant professional qualifications or willingness to obtain them, such as the CISI Level 3 Certificate in Corporate Finance.
  • Flexibility to work across UK offices, including London, Manchester, or Leeds.
  • Proficiency with Microsoft Office software.
  • Experience in supporting team performance and development.

The role is hybrid, based in London, Manchester, or Leeds.

Regulatory References

HSBC will obtain references covering the past six years as part of FCA requirements.

Qualifications

This role requires the CISI Level 3 Certificate in Corporate Finance or a commitment to complete it within one year.
