Role Overview

We are recruiting an Assistant Consultant-Company Secretarial to join our fast growing and ambitious team. You will form part of a high calibre team responsible for delivering an extensive range of corporate secretarial and governance services for the UK entities of our Global clients, providing high quality advice and work with others in the team to deliver an excellent client experience and ensure clients remain up to date with their statutory obligations.

Main Duties

  1. Advising a portfolio of clients on compliance matters, including annual statutory requirements, routine company changes and share capital changes
  2. Corresponding directly with clients and third parties
  3. Drafting board minutes/resolutions and shareholder resolutions to make relevant company changes, approve dividend distributions and POAs
  4. Undertaking any statutory filings with the Registrar of Companies
  5. Assisting with the maintenance of electronic corporate records using Diligent Entities
  6. Ensuring that statutory books remain up to date
  7. Undertaking health checks of statutory records and the reconstitution of records where required
  8. Incorporation/formation of UK companies
  9. Ad Hoc requests and administrative matters (authorised signatory requests, board minute extracts, secretary certificates, auditor requests, etc.) and attending to any notarisation/apostille requirements
  10. Building relationships with teams across Law Debenture
  11. Ensuring that invoices for work completed are issued, accurately, and on time

  5. Ability to work on your own initiative and to take ownership of tasks
  6. Strong verbal and written communication skills
  7. Strong interpersonal skills, with the ability to confidently liaise with a range of stakeholders and different levels of seniority
  8. A team player, who can work effectively and collaboratively with colleagues and stakeholders
  9. Ability to build relationships and rapport, demonstrating credibility
  10. High standard of professional and personal conduct and ethical behaviour
  11. Commercial and practical outlook

Essential Knowledge, Skills, Experience

  1. Educated to degree level or equivalent
  2. ICSA part or fully qualified (or other professional qualification if relevant experience can be demonstrated) or Grad ICSA if sufficient level of relevant experience
  3. IT literate, Excellent computer skills, in particular MS Office, Excel and Outlook

Preferred Knowledge, Skills, Experience

  1. Professional services or financial services industry experience an advantage
  2. Experience using Diligent Entities an advantage
