Job Description

As an Assistant Company Secretary, you will support the Company Secretary and work with other team members to establish appropriate corporate governance systems and controls, and promote high standards of governance. You will support the management and organisation of all board processes and statutory reporting requirements, and assist the Group’s directors with corporate governance and related matters.

This is a modern, friendly department that will support and encourage your career development. You will be involved in industry-leading initiatives working with senior leaders across the business.

Key Responsibilities
  1. Assist with arrangements for board meetings, including preparing agendas, providing timely information to board members, and preparing and circulating minutes and actions in line with internal processes and SLAs.
  2. Monitor and record progress against and closure of board and committee actions.
  3. Support the Company Secretary to ensure effective communication of board and committee decisions and facilitate good information flow.
  4. Act as a support resource for all directors, especially non-executive directors, and alert the Company Secretary to any potential breaches of corporate governance best practices.
  5. Support the Company Secretary in informing the Group’s directors of restrictions and responsibilities imposed by law or regulatory bodies (e.g., FCA).
  6. Keep up to date with changes to relevant regulations and legislation, assess impacts, and communicate these to ensure full and timely implementation.
  7. Assist with preparing disclosures on corporate governance for the Group’s Annual Report and Accounts.
Qualifications
  • Experience working as part of a Co Sec team.
  • Ability to work effectively with people at all levels, including C-Suite.
  • Experience in Financial Services is a plus but not essential.
  • Experience attending board and committee meetings and preparing accurate minutes.
  • Good knowledge of corporate governance standards (UK Corporate Governance Code, Wates Principles).
  • Strong understanding of Company Law.
