Job summary

Mistral is seeking an experienced M&A and Equity Financing Legal Counsel based in Paris to work under the Head of M&A and Finance Legal Counsel. You will structure, draft and negotiate external growth transactions and equity fundraisings, coordinating with business and finance teams.

Applicants should have 4–5 years of relevant law experience, including international firm exposure, and be fluent in English and French, with a strong ethical perspective on AI-related governance.

Qualifications

• Bachelor's degree or above in law from a France/EU accredited school.
• Admission to practice in at least one additional jurisdiction (USA/UK) is a plus.
• 4–5 years of relevant legal experience, incl. 3 years at an international law firm.

Responsibilities

• Draft, negotiate and advise on a wide range of M&A transactions worldwide.
• Lead deal structuring, due diligence, signing and closing stages.
• Coordinate equity fundraising, investor communications and due diligence disclosures.
• Assist on secondary sale transactions for investors and employees.
• Draft and negotiate LOIs, NDAs, SPAs, shareholders' agreements, and investment documents.
• Collaborate with cross-functional teams and build templates for M&A/financing docs.
• Support on compliance topics related to corporate affairs.
