Cellnex Telecom in Barcelona is seeking a Corporate Finance professional to lead M&A modelling and due diligence for international projects.

You will build integrated financial models, perform valuations, and coordinate with finance, tax, and legal teams to support Go/No-Go decisions at the executive level.

The role offers a hybrid work arrangement, exposure to cross-functional teams, and growth opportunities within a leading European telecom infrastructure group.

Formación

• 4–5 years of experience in corporate finance, investment banking, or related field.
• English advanced; Spanish knowledge valuable.
• Experience with M&A transactions and financial modelling.

Responsabilidades

• Develop the integrated financial model for each M&A project (including integration with business plan, tax and financing).
• Perform valuations using DCF, dividends, multiples, etc.
• Coordinate with Corporate Finance teams and external advisors.
• Support due diligence across financial, accounting and tax aspects.
• Present opportunities to C-level executives and Board members.

This positions collaborates with global vision in the leadership of an M&A project (including divestment), based on the development and execution of the modelling of the project, generally of an international nature, and in accordance with the criteria established by the department to facilitate decision making by senior management (CEO, CFO, CCO) and the Board of Directors of Cellnex.

What You'll Do

• Develop the integrated financial model for each M&A Project (including the integration of the operational Business plan together with the tax/capital/accounting/financing structure).
• Perform valuations by (i) discounted cash flows discounts, (ii) dividends discounts, (iii) multiples, etc.
• Compare the Business operating plan provided by Business Development.
• Review available information and corresponding representation in the financial model.
• Tax, accounting and financing structuring.
• Support in the analysis of impacts on RLFCF, Rating, price per share and net result.
• Identify and understand the main drivers for Due Diligence (DD) on the financial, accounting and tax side.
• Understand and participate in the legal, commercial and technical DD.

Internal and external relationships in M&A projects

• Coordination with all Corporate Finance departments (finance, tax, accounting, investor relations) ensuring coherence between them.
• Coordination with various internal teams (Strategy, Business Development, Technology & Customer Solutions, Legal, Rating) ensuring coherence between them.
• Coordination of Investment Banks and partners.
• Carry out the search for suitable partners for the execution of an M&A Project (when necessary).
• Participate in the negotiation and coordination of external advisors (tax, accounting, legal, commercial).

Decision making in M&A projects

• Present opportunities at the C- level for "Go/Non-Go".
• Participate in the presentation to the Board of Directors in M&A Projects for definitive decisions.
• Prepare support material for the different meetings.
• Attend meetings with banks/investors.

Conduct ad-hoc projects for other areas within Cellnex (ARO / PPA / Impairment / etc.)

Generate innovative solutions for clients

What We're Looking For

Education

• Bachelor's degree in Finance, Economics, Business Administration, Engineering or related field
• Master in any finance specialization will be valued

Languages

• English: Advanced (Must-have)
• Spanish: Advanced (Valuable)
• Any other Cellnex language: Intermediate (Valuable)

Tools & Systems

• MS Office: Advanced (Must-have)

Experience

• 4-5 years of relevant experience in Corporate Finance, Investment Banking, Corporate Development, Private Equity, Infrastructure Funds, or Big Four Transaction Advisory/Deals.
• Exposure to M&A transactions, financial modelling, valuation, or due diligence.
• Experience working in an international or multinational environment is an advantage.
• Experience within telecommunications, digital infrastructure, utilities, energy, or other infrastructure sectors is preferred.
