Sonae Sierra is seeking a qualified corporate lawyer to manage day-to-day corporate legal matters for the Group's Spanish companies, including annual accounts, powers of attorney, appointment and removal of directors and amendments to the articles of association. You will coordinate notarial and registry filings and provide ongoing support for SOCIMIs.

The role requires at least 2 years of experience, a law degree and a Master’s for Access to the Legal Profession, strong drafting and analytical

Formación

  • At least 2 years of professional experience in a law firm or in-house legal department.
  • Experience in M&A and real estate matters.
  • Strong analytical and drafting skills.
  • Excellent written and verbal communication skills.
  • High attention to detail and strong organizational skills.
  • Advanced level of English.

Responsabilidades

  • Manage the day-to-day corporate legal matters of the Group's Spanish companies, including annual accounts, powers of attorney, appointment and removal of directors and amendments to the articles of association.
  • Provide ongoing corporate and legal support in relation to the Group's SOCIMIs, including compliance with their specific corporate and legal requirements and coordination of the relevant corporate formalities
  • Draft and review service agreements, construction and works contracts and other agreements arising from the day-to-day operation of the shopping centres.
  • Manage KYC and AML processes for the relevant companies, including collection and review of documentation from counterparties.
  • Provide legal support in connection with the Communities of Owners of the shopping centres, including matters relating to owners' meetings and associated documentation.
  • Coordinate corporate and other legal formalities, including notarial and Commercial Registry matters and other required filings.
  • Maintain and organize the corporate records and legal documentation of the Spanish companies, including keeping corporate books and records up to date, coordinating their legalization where required, and ensuring corporate information and filings with the Commercial Registry are properly maintained and updated.
  • Participate in specific corporate projects and transactions, taking responsibility for assigned legal workstreams and matters as appropriate.

Key Responsibilities

Requirements

  • Law degree and Master's Degree for Access to the Legal Profession, Master's in Legal Practice or equivalent qualification.

  • Excellent written and verbal communication skills.
  • High attention to detail and strong organizational skills.
  • Ability to work independently and as part of a team.
  • Advanced level of English.
