Sonae Sierra, a leading real estate group, is seeking a Corporate Lawyer to manage day-to-day legal matters of the Group's Spanish companies, draft and review contracts, and oversee AML/KYC processes.

The role requires at least 2 years in a law firm or in-house, with experience in M&A and real estate, excellent drafting and communication skills, and fluency in English. You will work in a collaborative, international environment with opportunities for growth.

Formación

• Minimum 2 years of professional experience in a law firm or in-house legal department with exposure to M&A and real estate matters.
• Law degree and Master’s in Legal Practice or equivalent qualification.
• Strong analytical and drafting skills.
• Excellent written and verbal communication skills.

Responsabilidades

• Manage day-to-day corporate legal matters of the Group's Spanish companies, including accounts, powers of attorney, directors, and articles of association amendments.
• Provide corporate/legal support for SOCIMIs and ensure compliance with corporate/legal requirements and related formalities.
• Draft/review service agreements, construction and works contracts, and other agreements for shopping centres operations.
• Manage KYC/AML processes, including documentation collection/review for counterparties.
• Support Communities of Owners of shopping centres and coordinate owners' meetings and documentation.
• Coordinate notarial/Commercial Registry filings and corporate formalities.
• Maintain corporate records and filings with the Commercial Registry.
• Participate in corporate projects and lead assigned legal workstreams.

Key Responsibilities

• Manage the day-to-day corporate legal matters of the Group's Spanish companies, including annual accounts, powers of attorney, appointment and removal of directors and amendments to the articles of association.
• Provide ongoing corporate and legal support in relation to the Group's SOCIMIs, including compliance with their specific corporate and legal requirements and coordination of the relevant corporate formalities.
• Draft and review service agreements, construction and works contracts and other agreements arising from the day-to-day operation of the shopping centres.
• Manage KYC and anti-money laundering (AML) processes for the relevant companies, including the collection and review of documentation from counterparties.
• Provide legal support in connection with the Communities of Owners of the shopping centres, including matters relating to owners' meetings and associated documentation.
• Coordinate corporate and other legal formalities, including notarial and Commercial Registry matters and other required filings.
• Maintain and organize the corporate records and legal documentation of the Spanish companies, including keeping corporate books and records up to date, coordinating their legalization where required, and ensuring that corporate information and filings with the Commercial Registry are properly maintained and updated.
• Participate in specific corporate projects and transactions, taking responsibility for assigned legal workstreams and matters as appropriate.

Requirements

• At least 2 years of professional experience in a law firm and/or an in-house legal department, with some experience in M&A and real estate matters.
• Law degree and Master's Degree for Access to the Legal Profession, Master's in Legal Practice or equivalent qualification.
• Strong analytical and drafting skills.
• Excellent written and verbal communication skills.
• High attention to detail and strong organizational skills.
• Ability to work independently and as part of a team.
• Advanced level of English.
