ENGLISH VERSION (Based in Madrid)

THE COMPANY:
Unison acquires real estate assets in the United States and Europe in the telecommunications and renewable energy sectors. Supported by a partnership with a global investment firm managing over $125B in assets, Unison is experiencing rapid growth across its existing verticals while expanding into new markets. The position is based in Madrid, serving as a key hub for European operations.

THE TEAM:
The Assistant General Counsel – Telecoms and Renewables (EU), based in Madrid, will play a critical role in:

1. Managing the acquisition of telecom infrastructure assets, including cell towers, across EU markets. You will lead acquisitions in multiple countries and support expansion into new jurisdictions.

2. Expanding Unison’s renewable energy business across Europe by working with landowners and renewable energy developers. The role requires an experienced legal professional with a proven ability to accelerate transactions to closing, facilitate deals with developers, and exercise sound judgment in assessing, underwriting, and managing portfolio risk. This is a hands-on position where you will actively drive transactions and contribute to business growth. You will collaborate closely with senior management, origination, pricing, and property management teams. Over time, the role is expected to evolve into a specialization in renewables.

THE ROLE:
Responsibilities include, but are not limited to:

Telecommunications

• Provide general support to the Regional General Counsel – Europe
• Collaborate with the EU GC to report internally to the business
• Coordinate with internal and external legal counsel to manage transactions from initiation to closing
• Liaise with brokers and site owners where required
• Coordinate closing processes with external advisors including lawyers, notaries, banks, fund managers, and other stakeholders
• Perform legal and property due diligence (leases, title review)
• Manage, track, and record deals using internal systems
• Support expansion activities in new jurisdictions
• Provide basic advice on property taxes
• Prepare pre-closing reports, closing statements, and finance reviews
• Train origination teams on real estate matters
• Draft contracts and notarial deeds
• Oversee the full transaction lifecycle
• Manage and supervise payment processes at closing
• Lead weekly legal coordination meetings

Renewable Energy

• Manage a pipeline of lease acquisitions across the EU and coordinate closing support across finance, legal, origination, and leadership teams
• Oversee lease acquisitions handled by internal legal teams and prepare underwriting analysis for senior management
• Evaluate, structure, and support negotiations with renewable developers for sale-leaseback and land financing opportunities
• Assist EU and global leadership in developing innovative ground lease-based products
• Support entry into new markets, including entity setup, compliance, KYC processes, and structuring transactions aligned with risk and underwriting criteria
• Provide legal advice on commercial and corporate matters

REQUIRED EDUCATION AND EXPERIENCE:

• Minimum of 10 years of legal experience in a law firm and/or renewable energy developer environment
• Strong background in renewable energy and real estate transactions
• Proficiency with Office 365, Microsoft Teams, SharePoint, and Salesforce

Se busca un perfil con experiencia demostrada en acelerar transacciones hasta su cierre, colaborar con desarrolladores y aplicar criterio sólido en la evaluación, estructuración y gestión de riesgos de cartera. Se trata de una posición operativa en la que participará activamente en las transacciones y en el crecimiento del negocio. Colaborará estrechamente con dirección, origination, pricing y property management. Con el tiempo, el rol evolucionará hacia una especialización en energías renovables.

EL PUESTO:
Las responsabilidades incluyen, entre otras:

Telecomunicaciones

• Apoyar al Regional General Counsel – Europe
• Colaborar con el EU GC en la elaboración de reportes internos
• Coordinar con abogados internos y externos todo el proceso de transacción hasta el cierre
• Interactuar con brokers y propietarios de emplazamientos cuando sea necesario
• Coordinar cierres con asesores externos (abogados, notarios, bancos, gestores de fondos, etc.)
• Realizar due diligence legal y de propiedad (contratos de arrendamiento, titularidad)
• Gestionar, hacer seguimiento y registrar operaciones en sistemas internos
• Apoyar la expansión en nuevas jurisdicciones
• Asesorar a nivel básico sobre fiscalidad inmobiliaria
• Preparar informes pre-cierre, statements de cierre y revisiones financieras
• Formar a los equipos de origination en materia inmobiliaria
• Redactar contratos y escrituras notariales
• Supervisar el proceso completo de cierre
• Gestionar y supervisar pagos en el cierre de operaciones
• Coordinar reuniones legales semanales

Energías Renovables

• Gestionar un pipeline de adquisiciones de arrendamientos en la UE y coordinar el cierre con los equipos de finanzas, legal, origination y dirección
• Supervisar adquisiciones gestionadas por abogados internos y preparar análisis para dirección
• Evaluar, estructurar y apoyar negociaciones con desarrolladores de renovables (sale-leaseback, financiación de suelo)
• Colaborar con la dirección europea y global en el desarrollo de nuevos productos basados en arrendamientos de suelo
• Apoyar la entrada en nuevos mercados (constitución de sociedades, compliance, KYC, estructuras de transacción)
• Asesorar en asuntos comerciales y corporativos

FORMACIÓN Y EXPERIENCIA REQUERIDA:

• Más de 10 años de experiencia como abogado/a en despacho o en el sector de energías renovables
• Experiencia sólida en renovables y en transacciones inmobiliarias
• Manejo fluido de Office 365, Teams, SharePoint y Salesforce
