Job summary

Jobgether, on behalf of a partner company, is seeking a Senior Corporate Counsel based in Denmark. You will shape corporate strategy, oversee governance, and lead complex securities, M&A, and financing matters for a globally distributed technology business.

You will manage international subsidiaries, employee equity programs, and strategic investments, advising cross-functional teams on licensing, IP, and open-source licensing while driving scalable legal processes for international expansion.

Qualifications

• JD from a US-accredited law school and US bar admission.
• Strong securities law, governance, and private/late-stage company experience.
• Proven track record managing international subsidiaries and complex corporate transactions.
• Experience overseeing employee equity programs and stock plans.
• Knowledge of IP, licensing, and open-source considerations.
• Ability to operate independently in a fast-paced, global environment.

Responsibilities

• Lead global securities law compliance and governance for a late-stage private company.
• Manage international subsidiary structure, board meetings, and intercompany agreements.
• Support board governance with agendas, materials, and records.
• Oversee employee equity programs and stock sale transactions.
• Lead legal execution of fundraising, M&A, financing, and strategic transactions.
• Manage investment portfolio and venture capital transactions.
• Develop scalable legal and business processes for international expansion.
• Advise on software integrations, IP, licensing, and open-source licensing.
• Translate complex legal matters into practical recommendations for business decisions.
