IQM Finland Oy is seeking a Legal Counsel to support corporate governance, capital markets, and group entities with a focus on German corporate law. You’ll work closely with the General Counsel and teams across our global organization to translate complex requirements into practical processes as IQM scales.

Qualifikationen

• 3–5 years in-house corporate advisory or law firm in M&A/capital markets.
• Qualification to practice law in Germany.
• Strong knowledge of German corporate law in governance, M&A and/or capital markets.
• Excellent German and English, with ability to explain legal concepts clearly.
• Strong drafting skills in German and English.

Aufgaben

• Support shareholder, board and management meetings across the Group, including resolutions and corporate documentation.
• Develop and maintain corporate governance policies, processes and best practices.
• Advise internal stakeholders on German corporate law, capital markets compliance and corporate governance.
• Support the formation, maintenance and ongoing legal requirements of IQM’s group entities and intragroup agreements.
• Support corporate development initiatives, including M&A and other strategic transactions.
• Maintain legal templates and help internal teams understand how to use them effectively.
• Draft, review and negotiate commercial agreements with customers, partners and other ecosystem stakeholders.
• Coordinate multiple workstreams across different teams, countries and stakeholders.
• Work with external counsel where needed and help ensure matters are followed through to completion.
• Take ownership of assigned matters and provide clear, practical legal advice that helps the business make informed decisions.

As Legal Counsel, you’ll support IQM across corporate governance, capital markets, group entities and commercial matters, with a particular focus on German corporate law. Working closely with the General Counsel, senior management and teams across our global organisation, you’ll help turn complex legal requirements into clear, practical advice and processes that support the business as we scale.

What we’re looking for

• 3-5 years of relevant experience in an in-house corporate advisory team or an M&A, corporate or capital markets team at a law firm.

• Qualification to practice law in Germany.

• Strong knowledge of German corporate law, with experience in areas such as corporate governance, M&A and/or capital markets.

• Excellent German and English, with the ability to explain legal concepts clearly and simply to different audiences.

• Strong drafting skills in both German and English, with excellent attention to detail.

• Ability to manage multiple workstreams and stakeholders while working independently and proactively.

• A structured and rational approach to complex legal and business questions.

• A collaborative mindset and the confidence to work with stakeholders at different levels of the organization.

• A strong sense of ownership and perseverance - you take responsibility for getting things done, even when priorities evolve.

Nice to have

• Experience working in-house at a publicly listed company or advising public companies on corporate and governance matters.

• Practical experience with capital markets requirements, public-company governance or disclosure obligations.

• Experience supporting M&A, corporate development or other strategic transactions.

• Experience working in an international technology, deep-tech or fast-growing company, particularly in a role requiring coordination across multiple countries and stakeholders.
