Job summary

BairesDev is seeking a Commercial Legal Counsel to support high-volume enterprise client contract reviews, redlining key terms, and coordinating with Sales, Delivery, Security, and Privacy to keep deals moving. This 100% remote role offers USD compensation and a path to growth within a fast-paced AI-enabled tech business.

You will assess risk, triage requests, and help scale contract throughput by refining review processes and using JIRA/Confluence for tracking and audits.

Qualifications

• Law degree and qualification as a lawyer.
• Experience as contract legal counsel with US commercial agreements.
• Background in law firm contract counsel or corporate legal counsel roles.
• Advanced proficiency in English.

Responsibilities

• Review and redline commercial agreements, including MSAs, SOWs, NDAs, and DPAs, quickly and accurately.
• Assess and prioritize contract risk identifying key deviations in liability, indemnities, IP, payment, termination, RTH and non-solicit, audit, and insurance.
• Support contracting for technology and AI-driven services engagements.
• Drive projects and stakeholder alignment across Sales, Delivery, Finance, Security, and Privacy, managing timelines and approvals to remove signature blockers.
• Design and improve review processes through triage criteria, escalation paths, trackers and reporting in JIRA and Confluence, and audit-ready documentation.

Commercial Legal Counsel at BairesDev

In this role, you'll support the high-volume review of enterprise client contracts, working with checklists and approved positions under the guidance of senior legal counsel. You'll triage requests, redline key terms, and coordinate with Sales, Delivery, Security, and Privacy to keep deals moving. What You'll Do:

• Review and redline commercial agreements, including MSAs, SOWs, NDAs, and DPAs, quickly and accurately, aligning legal positions with business outcomes and delivery feasibility.
• Assess and prioritize contract risk by identifying key deviations in areas such as liability, indemnities, IP, payment, termination, RTH and non-solicit, audit, and insurance, issuing clear accept, revise, or **escalate** recommendations.
• Support contracting for technology and AI-driven services engagements.
• Drive projects and stakeholder alignment across Sales, Delivery, Finance, Security, and Privacy, managing timelines, dependencies, and approvals to remove signature blockers.
• Design and improve review processes through triage criteria, escalation paths, trackers and reporting in JIRA and Confluence, and audit-ready documentation to scale throughput and consistency.

What we are looking for:

• Law degree and qualification as a lawyer.
• Experience as contract legal counsel working with US commercial agreements.
• Background in law firm contract counsel or corporate legal counsel roles.
• Advanced proficiency in English.
