Job summary

EY Switzerland is seeking a legally trained professional to advise domestic and international clients on corporate and M&A matters, with exposure to real estate transactions and cross-border deals within a dynamic Europe West Law team. Qualifications

• Master's degree in law and bar admission are required.
• International postgraduate qualification (LL.M.) is an advantage.
• 1 to 2 years of professional experience in a law firm or corporate legal department.

Responsibilities

• Advise domestic and international clients on corporate and M&A transactions as well as commercial law matters
• Support transactions and projects in the real estate sector, including acquisitions, joint ventures, commercial leases and selected regulatory or administrative law matters
• Develop and implement corporate restructuring projects at both national and international levels
• Support M&A transactions from start to finish, including conducting legal due diligence, participating in contract negotiations, and preparing and finalizing transaction documentation
• Draft, review, and negotiate complex contracts and legal documents, particularly share and asset purchase agreements, financing agreements, shareholders' agreements, and joint venture agreements
• Monitor relevant legislative developments in corporate, real estate and commercial law and translate them into practical recommendations to ensure compliance
• Collaborate across disciplines by supporting other legal practice areas as needed, including Employment Law, Private Clients, and Intellectual Property
• Be involved in exciting, complex, and international projects from day one, working directly with specialists across EY service lines and with clients
