About This Position

The Transactional Attorney will support a wide range of transactional matters including project financing, tax equity, bond financing, portfolio finance and other capital markets transactions. The role will require coordination across multiple functional teams including development, finance, construction, operations, origination and trading.

Overview of Department

Team of 4 attorneys and 2 paralegals supporting all financing transactions at the company. This team is part of a larger legal department servicing needs across the company. Each team member is typically staffed on more than one transaction at a time. With such a small team, each member typically has some knowledge across each transaction and the ability to support priorities and capacity shifts.

Responsibilities and Duties
  • Advise on the structuring and execution of bond offerings, portfolio debt facilities, tax monetization, and M&A transactions
  • Draft, review, and negotiate definitive documentation for secured notes, portfolio loan facilities, project financings, tax equity investments and other capital markets transactions
  • Collaborate with internal teams and external stakeholders to facilitate due diligence processes
  • Identify risks and recommend mitigation strategies for individual projects and the business as a whole.
Qualifications and Skills
  • J.D. from accredited law school and current license to practice in the US
  • 4 - 6 years experience focused on finance and capital markets transactions or renewable energy project finance
  • Deep understanding of financing structures used for renewable energy projects and energy infrastructure in the US
  • Strong project management skills and attention to detail, including the ability to organize, plan, coordinate and implement large and cross-functional projects and the ability to work independently and as part of a team
  • Ability to perform under pressure, work independently and follow through on tasks to completion in a timely manner
  • Sound judgment to identify red-flag issues and escalate them as required
  • Ability to contribute to discussions of general business issues and understand and advise internal stakeholders in a manner consistent with the company’s goals and culture. Desire to continually learn and grow.

Physical and Sensory Requirements

  • Position is part of a remote team, with regular electronic and video communication
  • Position requires some travel for company-wide meetups: 5 weeks total through a calendar year.

  • Salary: USD$170,000 to USD$185,000 base salary with 40-50% annual target bonus
