Job description

We're looking for an experienced, hands-on commercial lawyer with a problem-solving approach to providing legal services in a technology-enabled, data-driven corporate legal department.

The role will primarily support negotiation of strategic and complex partnership agreements, collaborating with the Partnership and Alliances organization, Commercial Excellence, and Product functions to ensure operational and strategic alignment in partnership arrangements. The successful candidate will assist in developing a partnership playbook and maintaining partnership templates.

This role may be based in our Toronto office with a hybrid working model. It sits within the Commercial team of the Thomson Reuters Legal, Risk & Compliance Office, a highly collaborative international team focused on enabling business growth and mitigating risk for our customer-centric commercial group.

About the Role

As Senior Legal Counsel, you will:

  1. Review, draft, and negotiate a wide range of agreements, including complex software (SaaS), information licensing, redistribution, reseller, referral, integration, hosting, content acquisition, consulting, professional services, data processing, data security, and non-disclosure agreements.

  2. Provide strategic legal advice to business leaders and collaborate with stakeholders to drive Thomson Reuters’ partnership strategy and growth.

  3. Advise on licensing and use of AI tools and other legal technologies.

  4. Assist in resolving commercial disputes with partners.

About You

You’re a fit for the role if your background includes:

  • 6+ years post-qualification experience in private practice and/or as in-house counsel advising sales, product management, and internal stakeholders on legal and compliance matters related to software (including SaaS), information licensing, and partnerships.

  • Strong technical legal knowledge in contract and commercial law, especially with SaaS and Gen AI products.

  • Experience with software/technology contracting.

  • Excellent negotiation and drafting skills.

  • Strategic, creative, and practical thinking to resolve legal issues.

  • Ability to quickly learn about Thomson Reuters products, services, and organizational processes.

  • Authorized to practice law.
