Job description

Hydro One Networks Inc. is seeking a Senior Legal Counsel to join our company, reporting to an Assistant General Counsel within the Law Department. This full-time position is located at Hydro One’s head office in Toronto, with occasional travel to meet with various lines of business. Hydro One currently operates a hybrid work model (remote and in-office).

Responsibilities:

1. Draft, negotiate, review, and advise on complex construction contracts, leveraging knowledge of various construction execution models.
2. Provide legal, business, and strategic advice on a wide range of corporate and commercial matters to different lines of business and senior executives, including the General Counsel.
3. Negotiate, advise on, draft, and review other commercial contracts such as joint use, telecommunications agreements, leases, M&A transactions, sponsorships, and new product/service agreements.
4. Review and advise on legislation, regulations, and Ontario Energy Board regulatory instruments.
5. Incorporate entities as needed for transactions.
6. Manage legal risks associated with business strategies and operations.
7. Participate in strategic planning and provide training to business lines.
8. Manage external counsel and serve as the interface between external counsel and Hydro One.
9. Assist other Law Department members and serve as a resource on complex issues.

Selection Criteria:

1. Member in good standing with the Law Society of Ontario.
2. At least 10 years of post-call experience as a corporate/commercial lawyer, either in a law firm or in-house.
3. Experience with outsourcing, supply chain, technology licensing, cloud services agreements, and procurement processes.
4. In-house legal experience and knowledge of the energy sector or regulated industries are assets.
5. Ability to collaborate across business functions and advise on legal risks and strategies.
6. Strong leadership, autonomy, and excellent legal and business judgment.
7. Proficiency with MS Office (Word, Excel, PowerPoint).
