AVEVA in Calgary is seeking a Senior Legal Counsel to review, draft and negotiate a range of complex commercial contracts to support AVEVA’s business. This role reports to the Legal Director and acts as a trusted advisor balancing legal risk with business objectives.

You will work with counterparts in EMEA and Asia Pacific, provide compliance guidance, and help maintain efficient processes, legal systems, and records while delivering timely deal closures.

Qualifications

  • Hold a law degree and be a member in good standing of a provincial bar.
  • At least 5 years' experience as in-house or transactional attorney in software contracts.
  • Excellent English writing and verbal communication; able to work cross-functionally.
  • Strong analytical and problem-solving skills.

Responsibilities

  • Provide pragmatic legal and commercial advice within Canada by summarizing and communicating legal concepts to management and employees.
  • Draft, review, and negotiate software licenses, SaaS, cloud services, consulting and service delivery agreements, NDAs.
  • Develop and maintain efficient processes, structures and procedures for the legal function.
  • Collaborate with Sales, Finance and external counsel, and support cross-regional initiatives.
  • Maintain and update legal systems and records.

The Job:

The Senior Legal Counsel, Canada will primarily be responsible for reviewing, drafting, and negotiating a range of complex commercial contracts to support AVEVA’s business.

Reporting to the Legal Director, the Senior Legal Counsel will be trusted advisor who is customer service oriented, has an eagerness to tackle a wide range of legal and business issues and the ability to balance legal risks with business objectives and successfully get deals closed in a timely manner and, all with a positive attitude.

The Senior Legal Counsel will also provide counsel regarding compliance with applicable laws, regulations and company policies. He/she will be required to work closely with counterparts in EMEA and Asia Pacific to support the Legal Director, in addition to working with other business teams, both in region and globally.

Key Responsibilities:
  • Provide pragmatic legal and commercial advice, generally, within Canada by summarizing and communicating legal concepts to management and employees in the field.
  • Maintain current knowledge of, and support compliance with, applicable laws and regulations.
  • Draft, review and negotiate commercial contracts, including those dealing with software licenses, SaaS and other cloud offerings, software consulting and service delivery, strategic teaming, prime and subcontractor agreements, as well as RFQ and RFP support and a range of NDAs, all within an agreed approval matrix and legal policy framework.
  • Assist in reviewing and revising current processes, structures and procedures for efficiency and support projects and initiatives to realign and streamline same.
  • Assist in developing, maintaining and updating legal systems and records.
  • Establish good working relationships throughout the department and across all business units, notably Sales and Finance.
  • Liaise with external counsel and relevant authorities.
  • Work on special projects as requested.
Essential Requirements:
  • Possess a law degree and be a member in good standing of at least one provincial bar association.
  • At least 5 years work experience as an in-house or transactional attorney with progressive, relevant experience in commercial software transaction agreements as described above.
  • Ability to quickly identify and analyze problems to form an opinion and offer practical advice to the business.
  • Pays strong attention to detail and possesses commitment to excellent client service.
  • Possess high-level legal drafting and negotiation skills and excellent written and verbal communication skills in English.
  • Work effectively in both team and independent settings with the ability to work cross-functionally.
  • Manage multiple tasks simultaneously and efficiently.
  • Be a self-starter who has the ability to work independently and manage many simultaneous projects under deadline pressure
