Job description

Reporting to the Senior Vice-President, General Counsel, you will join a team of lawyers and contract specialists advising the business on legal matters arising in the course of work, such as projects involving professional engineering services, project management, and claims management.

You will also be involved in M&A transactions, including drafting and negotiating transaction documents and coordinating with outside counsel.

We offer a flexible hybrid work model, allowing you to work from home or from one of CIMAs offices across Canada based on your preference.

Main responsibilities :

  • Review contracts, identify and communicate risks to project leadership, and collaborate to resolve contract issues across various projects.
  • Provide legal support for M&A initiatives, including drafting, negotiating, and supervising external counsel work.
  • Stay updated on legal developments affecting your assigned business line.
  • Critically review scopes of service and commercial terms, communicating legal and commercial risks.
  • Lead negotiations with clients and develop team strategies.
  • Advise on processes and actions to mitigate legal and project risks.
  • Provide legal opinions on contract terms.
  • Improve contracting processes, resources, and precedents.
  • Manage claims strategically with business leaders and outside counsel.
