What you’ll be doing

Reporting to the Vice-President & Associate General Counsel, Capital Markets & Transactions, the Senior Counsel, Transactions will provide expert legal and strategic counsel to executives and senior management across our bank in connection with domestic and international mergers and acquisitions, private equity investments, reorganizations, complex commercial arrangements and other transactions that are strategically important to CIBC and our clients.

Utilizing strong independent judgment, broad-based legal knowledge, and a high level of professionalism, the Senior Counsel, Transactions will proactively collaborate with our team of legal professionals within the Legal Department, and with team members across our strategic business units and functional groups, to execute these complex and time-sensitive projects while mitigating potential risks.

How you’ll succeed

  • Leadership - Take a leadership role in the development and execution of strategic transactions and initiatives by providing proactive legal and strategic counsel to CIBC’s senior executive management team, our Enterprise Strategy & Corporate Development Group and each of our strategic business units and functional groups. Lead and oversee teams of external legal counsel while ensuring transactional efficiencies and managing external counsel fees, including by internalizing the initial stages of the transaction process. Stay informed about legal and regulatory developments in the complex areas of mergers and acquisitions, corporate and commercial law, and other specialty areas relevant to CIBC’s strategic transactions, and take a lead role in assessing their potential impact on CIBC.
  • Judgment & collaboration - Work in close collaboration with colleagues in the Legal Department to execute complex and time-sensitive projects. Use strong judgment and know when to escalate material legal and/or reputational issues in a timely manner. As an employee of CIBC, comply with all applicable CIBC policies, standards, guidelines and control requirements.
  • Business mindset - Review, draft, and negotiate complex and time-sensitive legal documents having a view to achieving CIBC’s business objectives while protecting its interests.

Who you are

  • You can demonstrate a minimum of 5-7 years of experience in business law, including progressive and extensive experience in mergers & acquisitions and private equity. You have exceptional communication, relationship building, negotiating, and problem-solving skills.
  • You’re a certified professional. The successful candidate must have been called to the Bar in Ontario.
