What is the opportunity?

As Senior Counsel – Corporate and Commercial Banking, you will provide transactional and advisory legal support to Royal Bank of Canada’s Corporate and Commercial Banking businesses, Loan Portfolio Management, Non-Payment Insurance, Credit & Transaction Management and Global Loans Administration and Agency Services Group, and manage complex legal, regulatory, reputational risks for Corporate and Commercial Banking businesses, as well as to Royal Bank of Canada’s Subsidiary Banking Group and Corporate Treasury with respect to a wide range of complex lending and credit-related matters.

You will assess the impact of laws and regulations that affect the activities of Corporate and Commercial Banking businesses in order to manage legal, regulatory and reputational risks in everyday operations and the development and delivery of new and existing financing products and solutions.

What will your responsibilities be?

  • Providing legal support for Corporate and Commercial Banking businesses of Royal Bank of Canada, including Loan Portfolio Management, Non-Payment Insurance, Credit & Transaction Management and Global Loans Administration and Agency Services Group, in respect of a wide array of lending and financing products, collateral security and credit-related matters, including corporate loans for RBC Capital Markets clients.
  • Providing primary legal support to National Office and Commercial Banking businesses on all non-lending product work.
  • Collaborating with other members and teams within Law Group to provide legal support to additional Commercial Banking business lines on lending matters (including Wholesale Automotive Finance (including Specialized Lending), Commercial Mortgages, National Office, Trade (including Receivables and Supply Chain Finance), Indigenous Banking and RBCx businesses).
  • Providing legal support on cross-border lending matters to ensure consistency in approaches and practices between Canada and the U.S. and to support RBC’s strategy of business growth in the U.S.
  • Providing legal support in Canada for Subsidiary Banking Group and Corporate Treasury in connection with inter-affiliate financing transactions and for Corporate Treasury.
  • Monitoring and managing implementation of new regulations reflecting increased regulatory oversight from regulatory bodies and affecting supported businesses.
  • Inspiring confidence within all levels of employees of the aforementioned businesses with respect to identification and successful management of legal and reputational risk.
  • Partnering with Compliance, Operations, Risk and other functional areas to ensure oversight and control over supported businesses and implement enterprise level projects.

What do you need to succeed?

Must-have

  • Law Degree and qualification to practice law in Ontario (in good standing), with at least four or more years of post-call relevant legal experience.
  • Comprehensive knowledge of commercial lending and financing activities, collateral security issues, commercial mortgages and general corporate law, including attendant legal and reputational risks.
  • Significant legal experience in lending and financing transactions, as well as interpreting and applying Bank Act (Canada) and other related rules and regulations.
  • Strong ability to balance competing work demands and to work independently and collaboratively within a team, including building effective relationships with internal partners.
  • Strong problem-solving, communication and decision-making skills.

Nice-to-have

  • Legal experience in receivables and supply chain finance and leasing activities.
  • Bilingual (English/French) language skills considered an asset.
