Job summary

TD Legal is seeking an experienced Senior Counsel, Commercial Banking & Lending, to provide expert legal advice on complex financing, security interests, and lending structures for TD Canadian Commercial Banking. You will support multiple business teams including Small Business Banking and National Accounts across Canada, balancing risk, regulatory compliance, and strategic initiatives.

Qualifications

JD/LLB required; Bar admission in a Canadian province is mandatory.
10+ years of relevant experience in financial services with complex commercial transactions.
Bilingual English and French (spoken and written) mandatory.

Responsibilities

Provide legal advice and transactional support for complex commercial lending, leasing and other structured financing transactions.
Lead negotiations and draft or review financing and security documents (intercreditor, security agreements, shareholder and purchase agreements).
Advise business and credit teams on secured lending matters across Canadian jurisdictions.
Deliver risk-based legal guidance balancing legal, regulatory, operational and business considerations.
Mentor and provide leadership to other legal team members and develop standard form documentation.
