Job summary

The Ontario Financing Authority (OFA) is seeking an Associate General Counsel to join its Legal Branch in a senior leadership role. Reporting to the General Counsel, Chief Legal Officer and Corporate Secretary, you will provide strategic legal advice across the Province's borrowing program, capital markets and fund-related activities.

You will lead complex transactions, oversee governance matters for OFA and OEFC, mentor junior counsel, and help shape regulatory and legislative initiatives

Qualifications

• Extensive experience handling complex legal and transactional matters in leading law firms, in-house legal teams, government or similar settings.
• Deep expertise in securities law and capital markets transactions, including fund structures and debt offerings.
• Experience advising on investments and co-investments for funds and complex senior stakeholder engagements.

Responsibilities

• Provide legal support for the Province's borrowing program and debt issuances.
• Advise on securities law, corporate finance, and investment-related matters, including funds and instruments.
• Negotiate LPAs, side letters and related documentation aligned with investment priorities.
• Provide strategic, risk-based legal advice to senior executives on complex financial transactions.
• Oversee governance matters for OFA and OEFC Boards.
