Job description

Our client is the Corporate Law Group of a Big 4 Accounting Firm with a dynamic and thriving practice.

This role can be based in Toronto or Montreal, with a flexible hybrid work model (2–3 days per week in-office).

Responsibilities

  1. Draft and review a wide range of corporate legal documents, including incorporations, amalgamations, revivals, amendments, dissolutions, continuances, officer certificates, notarial certificates, annual resolutions, and more.
  2. Analyze planning memos for tax-driven corporate reorganizations and prepare supporting documentation and checklists.
  3. Prepare closing agendas and documentation for share and asset purchase transactions, as well as corporate finance transactions.
  4. Review corporate minute books.
  5. Conduct corporate and regulatory searches; summarize and analyze findings.
  6. Assist in supervising and mentoring junior clerks or administrative staff as needed.
  7. Collaborate closely with lawyers and contribute to client file management and workflow planning.
  8. Stay informed of changes in corporate law and maintain up-to-date legal and regulatory knowledge.

Qualifications

  • Law Clerk Diploma from a recognized post-secondary institution.
  • Minimum of 5 years of experience as a Corporate Law Clerk, ideally in a private practice setting.
  • Strong experience supporting corporate reorganizations and transactions.
  • In-depth knowledge of Canadian corporate statutes and governance procedures.
  • Proficiency in Microsoft Office (Word, Outlook, Calendar) and legal document management software.
  • Strong verbal and written communication skills in English.
  • French language skills are required for Montreal candidates.
  • Excellent attention to detail and time management skills with the ability to manage multiple priorities independently.
  • Ability to thrive in a fast-paced, collaborative legal environment, valuing teamwork and independent execution.
  • Operate with discretion, efficiency, and a high standard of service.
