What you’ll do
- Perform a variety of legal and administrative duties while coordinating and assisting lawyers with assigned matters.
- Prepare routine minute book documentation and maintain minute books for the trust and its subsidiaries.
- Prepare and file articles and corporate documentation related to incorporation, amendments, dissolutions, and other corporate transactions under CBCA, OBCA, and other provincial jurisdictions.
- Maintain a database (CorpLink) of Trust and all subsidiaries.
- Prepare and file annual returns, business name, partnerships, and limited partnerships registrations.
- Prepare and maintain securities filings as required (SEDAR, SEDI, TSX).
- Conduct corporate reviews and due diligence in connection with transactions, drafting supporting documentation as necessary.
- Prepare corporate structure charts to identify voting and participating interests.
- Monitor and communicate with lawyers regarding ongoing corporate filings and other requirements.
- Assist in identifying necessary corporate documentation, searches, and filings in connection with transactions.
- Support the Corporate Secretary and Assistant Corporate Secretary by coordinating trustee calendars, preparing agendas, reviewing materials, and preparing resolutions and minutes.
- Contribute to the development of Corporate Secretariat precedents.
- Assist in coordinating the annual general meeting.
- Process and maintain records of legal spend.
- Prepare and attend to execution of documents.
- Establish and manage strong internal client relationships.
- Demonstrate strong knowledge and understanding of the business.
- Proactively identify issues and recommend solutions.
What you bring
- Completion of law clerk program recognized by the Institute of Law Clerks of Ontario.
- 6-10 years of related experience in a law firm or in-house legal department, preferably at a public company.
- Member in good standing with the Institute of Law Clerks of Ontario.
- In-depth knowledge of corporate statutes.
- Superior administrative, organizational, and time management skills.
- Proficiency with Word, Outlook, PowerPoint, Diligent, and corporate databases (CorpLink).
- Excellent written and oral communication skills.
- Strong research and problem-solving skills.
- Detail-oriented, hardworking, and self-motivated.
- Ability to work independently with minimal supervision.
- Experience with extra-provincial record keeping is an asset.
