Job summary

PointClickCare, a leading health-tech company in the Greater Toronto Area, seeks an experienced corporate commercial attorney. Reporting to the VP, Contracts & Legal, you will draft and negotiate complex agreements, support governance, and help manage strategic transactions.

The role requires a JD and bar admission, 5+ years of experience, and strong negotiation skills. The position is hybrid with in-office and remote elements, offering a competitive Canada base salary with bonus and benefits.

Qualifications

• JD and active member of an applicable law society or U.S. state bar.
• 5+ years of experience in commercial legal practice, with exposure to corporate legal matters.
• Proven ability to independently negotiate complex business transactions under tight deadlines.
• Demonstrated capacity to analyze and resolve sophisticated legal and business issues with practical, commercially minded solutions.

Responsibilities

• Assist with general commercial matters, including drafting and negotiating services, product and technology-related agreements (MSAs, partnership agreements, NDAs, BAAs, SaaS, data protection agreements, licenses, subcontractor agreements).
• Support corporate governance matters, including subsidiary governance, intercompany arrangements, and strategic transactions.
