Job summary

Dentons Canada seeks a Senior Corporate Paralegal in Vancouver to join our team. You will perform complex corporate duties, including incorporations, amalgamations, continuations, dissolutions, and changes to directors/officers/shareholders.

Provide precise drafts of transactional documents, manage multi-lawyer workflows, and maintain minutes and records with high accuracy. A fast-paced environment with strong governance knowledge awaits.

Qualifications

  • Minimum 8 years’ experience in Corporate Records with senior-level responsibilities.
  • Ability to draft sophisticated transactional documents with minimal supervision.
  • Proven ability to manage complex workflows and deadlines across lawyers.
  • Work independently from inception to completion on complex transactions.
  • Deep knowledge of corporate procedures, governance and business law.
  • High accuracy, strong time management and attention to detail.
  • Team player who supports colleagues in a fast-paced setting.
  • Strong written and verbal communication skills; proficient with MS Word/Outlook.

Responsibilities

  • Perform a variety of complex and routine legal duties under supervision.
  • Incorporation and organization of BC and Federal companies.
  • Handle amalgamations, continuations in BC, and dissolutions.
  • Manage director/officer/shareholder changes and partnerships registrations.
  • Prepare registrations of business names and review corporate minute books.
  • Draft documents and update electronic minute books, ensuring accuracy.
  • Post time daily and manage records; perform other tasks as required.

POSITION SUMMARY

Dentons is seeking a highly skilled individual to join our team of Corporate Paralegals in our Vancouver office. This is a senior level position, and the key responsibilities include:

  • Performs a variety of complex and routine legal duties under the supervision of the Supervisor and lawyers
  • Incorporation and organization of BC and Federal companies
  • Amalgamations
  • Continuations in and out of BC
  • Dissolutions
  • Director, officer and shareholder changes
  • Partnership registrations/changes
  • Business name registrations
  • Attending to the review and analysis of corporate minute book records and recommending the appropriate course of action to update records and rectify deficiencies, including drafting the required documentation
  • Updating electronic minute books
  • Posting time daily to maintain accurate time dockets
    Other tasks as required
REQUIREMENTS
  • Minimum 8 years’ experience working within the Corporate Records practice area and senior-level experience preparing transactional documents
  • Produce accurate, sophisticated drafts of legal documents and correspondence, with little to no supervision
  • Proven ability to manage complex workflows, anticipate needs, and track critical deadlines across multiple lawyers or practice groups
  • Ability to work independently and manage complex transactions from inception to completion
  • Possess a deep knowledge of corporate procedures, corporate governance and business law
  • A high level of accuracy, attention to detail and time management skills
  • Demonstrate a team approach and supports colleagues;
  • Ability to work in fast-paced environment and manage multi-priorities to meet necessary deadlines
  • Communicates in a clear and precise manner
  • Advanced computer skills; proficient with MS Word and Outlook

The target salary range for this position is $90,000 – $105,000, commensurate with the successful candidate’s skills, experience, and qualifications.
