Job Description
Reporting and assisting to the Junior Corporate/Commercial Legal Assistant, Department Head providing support across a range of practice areas, including commercial transactions, related financing, lender compliance, real estate development, and secured lending. This role demands strong organizational skills, as it involves independently preparing documentation plans and lists, while remaining flexible to shifting priorities and guidance. A solid understanding of relevant legislation is essential, along with a high level of accuracy in drafting knowing how to find the correct information when needed is just as important as knowing it.
Accountability
- Prepare, revise, format, and file legal documents accurately and on time, ensuring compliance with applicable limitation periods and legislative requirements.
- Review and interpret purchase and sale agreements, along with other commercial contracts, to support both transactional and litigation matters.
- Coordinate client meetings and appointments, gather required information, and provide timely updates to ensure all deadlines are met.
- Conduct thorough due diligence, including title investigations, corporate and asset searches, lien checks, and off-title inquiries.
- Analyze and summarize due diligence findings to support legal proceedings and transactional work.
- Prepare, review, and reconcile financial documents, including statements of adjustments and other transaction-related documentation.
- Manage the inflow and disbursement of transaction funds in accordance with financial reporting protocols.
- Oversee all aspects of transaction closings, including scheduling, document preparation, and follow-up to ensure timely completion.
- Serve as a liaison with lenders, brokers, legal professionals, and internal stakeholders to facilitate efficient file management and progress.
- Maintain client files by handling conflict checks, file openings, ID verification, document scanning, e-filing, billing, and invoicing.
- Ensure accuracy and consistency in document management systems to support efficient and compliant record-keeping.
- Identify, investigate, and resolve transactional challenges, such as title issues, to ensure smooth execution.
- Comply with all legal, regulatory, and firm-specific policies to mitigate risk and uphold compliance standards.
- Assist in preparing reports, organizing meetings, conducting client interviews, and supporting client relationship management.
- Provide general administrative support to the legal team as needed.
Who You Are
- 2-5 year of proven experience as a Legal Assistant, preferably with exposure to commercial law.
- Solid understanding of legal terminology, procedures, and office protocols, with familiarity in the day-to-day functions of a legal practice.
- Proficient in Microsoft Office Suite (Word, Excel, Outlook) as well as legal platforms such as ECorp, BC Online, LTSA, and Esilaw.
- Excellent written and verbal communication skills in English, with the ability to engage effectively at all levels of the organization and with external stakeholders.
- Demonstrates sound judgment, discretion, and the ability to manage multiple tasks and priorities efficiently.
- Strong attention to detail and accuracy in maintaining active files, with clear documentation to support collaborative work.
- Completion of a recognized Legal Assistant or Paralegal diploma or certification program.
