Overview

Mergers and Acquisitions Analyst

Location: Montreal, Full time in office

Valnet is seeking a highly analytical and driven Mergers and Acquisitions Analyst to help run the acquisition lifecycle and to manage our internal investments. The ideal candidate must possess excellent analytical and problem-solving skills and the desire to work in a fast-paced environment. This person will report directly to the Head of M&A and will work closely with our Brands and the rest of the leadership team in regards to future and potential acquisitions.

Responsibilities
  • Co-lead the entire acquisition lifecycle: knowledge of the competitive landscape, sourcing, pipeline growth, capital deployment, valuation, negotiating, assisting counsel with purchase agreement drafting, integration/management (operations) with the objective of delivering results in line with IRR expectations.
  • Manage internal investments by leading or co-leading operations with content/ business partners and driving operational/financial results as per budgeted expectations.
  • Assist investment team’s needs with ad hoc requests, including operational and financial modeling, budgeting, tracking, KPIs, and support for special projects, reporting, meetings, and presentations.

Other daily tasks include:

  • KPI tracking: creating and iterating processes to track financial and operational KPIs such as revenue, cost per article, active sessions, failure rates, EBITDA, etc.
  • Modeling: assist in creating frameworks for operational and financial models, forecasting, and historical data analysis.
  • Data analysis: use available tools to perform deep-dives into operations, identify patterns to inform decisions.
  • M&A due diligence: reconcile financials, compile and evaluate operational data to inform forecasting.
Requirements
  • Bachelor’s degree in Finance, Business, Economics, or related field.
  • MBA or advanced degree is a plus.
  • 0-3 years of relevant experience in M&A, investment banking, private equity, VC, or corporate development.

Analyste en fusions et acquisitions

Valnet est à la recherche d\'un analyste en fusions et acquisitions hautement analytique et motivé pour gérer le cycle d\'acquisition et superviser nos investissements internes. Le candidat idéal doit posséder d\'excellentes compétences en analyse et en résolution de problèmes, ainsi qu\'une grande capacité à évoluer dans un environnement dynamique. Cette personne reportera directement au Responsable des Fusions et Acquisitions et travaillera en étroite collaboration avec nos marques et le reste de l\'équipe de direction sur les acquisitions futures et potentielles.

Responsabilités
  • Co-diriger l\'ensemble du cycle d\'acquisition : connaissance approfondie du paysage concurrentiel, sourcing, développement du pipeline, déploiement du capital, évaluation, négociation, assistance aux conseillers juridiques pour la rédaction des accords d\'achat, intégration/gestion des opérations, avec l\'objectif final de délivrer des résultats conformes aux attentes de rendement interne (IRR).
  • Gérer nos investissements internes en menant ou co-dirigeant les opérations avec les partenaires de contenu/affaires et en stimulant les résultats opérationnels/financiers conformément aux prévisions budgétaires.
  • Répondre aux besoins de l\'équipe d\'investissement par des demandes ad hoc, c’est-à-dire la modélisation opérationnelle et financière, le suivi budgétaire et des KPIs, assistance sur des projets spéciaux, des rapports, des présentations, etc.
Autres tâches quotidiennes
  • Suivi des KPIs: création et optimisation des processus pour suivre les indicateurs financiers et opérationnels tels que le revenu, le coût par article, les sessions actives, les taux d\'échec, l\'EBITDA, etc.
  • Modélisation: conception de cadres pour des modèles financiers et opérationnels, prévisions et analyse des données historiques.
  • Analyse de données: utilisation d\'outils tels que PubInsights et Google Analytics pour des analyses approfondies et l\' identification de tendances.
  • Due Diligence M&A: rapprochement des données financières et évaluation des informations opérationnelles pour informer les prévisions.
Exigences
  • Diplôme de baccalauréat en finance, commerce, économie ou domaine connexe.
  • Un MBA ou un diplôme de deuxième cycle est un atout.
  • 0-3 ans d\'expérience pertinente en fusions et acquisitions, banque d\'investissement, capital-investissement, capital-risque ou développement corporatif.
  • Bonne maîtrise de la modélisation financière, des techniques d\'évaluation et des processus de due diligence.
  • Capacité d\'apprentissage autonome, avec de solides compétences analytiques, en négociation et en communication.
  • Intérêt marqué pour l\'adtech, les médias ou les technologies.
