Job Description

Your Team:

This role will support and manage the Invesco Global Legal Support Team’s (GLST) Board and Proxy teams.

The Board Team is responsible for managing Corporate Governance matters for Invesco’s investment products and for maintaining business relationships globally, with Board members governing those investment products. The Board team also works closely with key stakeholders across the organization to coordinate support of the Boards and prepare materials, as needed.

The Proxy Team is responsible for leading the end-to-end execution of proxy initiatives for Invesco’s investment products, including but not limited to proxy solicitation vendor selection and shareholder meeting management. The Proxy Team collaborates with Invesco stakeholders and third-party vendors to effectuate these proxy campaigns.

Your Role:

The Manager’s responsibility is to lead a team of legal support professionals to effectively manage quarterly and ad hoc meetings of several Boards overseeing Invesco’s mutual funds, exchange-traded funds, unregistered institutional products, and other offerings. These Boards consist of Invesco C-Suite executives and accomplished leaders in the broader financial services industry. The Manager must train, supervise, and allocate work in a way that aligns with the high standards these business leaders expect and helps each Board achieve its objectives.

The Proxy team is comprised of legal support professionals responsible for driving shareholder proxy initiatives from beginning to end, including the initial feasibility assessment, the preparation, filing and production of proxy documentation, through the voting and solicitation period, and ultimately to the shareholder meeting where the initiative is approved. The successful completion of proxy initiatives is critical for Invesco to execute its business strategy.

What you would be responsible for:

  • Managing the research, drafting and preparation of product and other business-related proposals for Board approvals and Proxy votes according to deadlines driven by the Boards’ meeting schedules, Invesco product leadership, and SEC deadlines.
  • Leading the team to collaborate with Product Development, Compliance, Fund Reporting, Legal and others to coordinate timelines and Board/shareholder approval of product changes and launches.
  • Leading the mutual fund contract renewal process for the Advisors, Distributor and Transfer Agent through cross-functional coordination across the Invesco organization and strategy-setting.
  • Writing and reviewing board materials for consistency and accuracy.
  • Taking meeting minutes and training others to take minutes, as needed.
  • Developing and executing communication strategies with the Boards; preparing and distributing materials as needed.
  • Allocating work assignments based on the capabilities, capacity and schedules of the team members.
  • Promoting the team members in their relationship development with the attorneys and business partners to provide consistent service, strong support and high quality results.
  • Cultivating and maintaining strong relationships with senior legal colleagues and engaging with attorneys to seek feedback and ensure the strong performance of the team.
  • Interviewing, hiring, orienting, training, motivating, and coaching new team members.
  • Assessing performance and recommending promotions and compensation for team members.
  • Performing senior Board Team member duties in addition to management responsibilities, including stepping in as a backup to ensure deliverables are on time.

Experience you bring:
  • Bachelor’s Degree or equivalent work experience.
  • Minimum of 6 years of relevant work experience and/or experience in the finance industry required.
  • Experience leading a team project is required; direct team management preferred.
  • Excellent interpersonal and leadership skills required. Must be able to lead others across multiple locations globally.
  • Communication and relationship-building skills necessary to communicate effectively with stakeholders across all levels, including the firm’s most senior business leaders. Must be able to engage directly with department leadership, attorneys, or outside business partners without assistance from manager.
  • Working knowledge of Fund Services policies and procedures with respect to shareholder account issues preferred.
  • Ability to focus on multiple high-priority projects at the same time while maintaining quality output, paying attention to details and meeting deadlines.
  • Must possess the creativity necessary to identify strategic solutions to work-related problems. Strong analytical and problem-solving skills.
  • Desire to coach and develop personnel.
  • Ability to work flexible hours as needed to ensure deadlines are met.
