About the role

Position: Manager, Governance and Board Liaison

Position Type: Full-time

Reports to: Chief Executive Officer

Start Date: March 31, 2025

Location: Remote from home, resident in Canada

The Manager, Governance and Board Liaison is a key advisor and administrator for the Board of Directors of Trans Canada Trail and the Board of Directors of the Trans Canada Trail Foundation (the ‘Boards’) ensuring effective communication, compliance with governance practices and the smooth operation of board-related activities. This role involves working closely with the Boards and the organization’s leadership, maintaining clear communication channels, and promoting a strong governance culture. Additionally, the person will fulfil the function of secretary, managing board documentation and legal filings.

This position is open only to residents of Canada, who are eligible to work in Canada.

Key responsibilities

  1. Board Liaison:
  • Act as the primary organizational point of contact for members of the Boards and campaign volunteers.
  • Support and facilitate access to information and documentation with Board Members, Senior Management and Campaign Cabinet volunteers, ensuring timely and accurate information flow to support effective decision-making.
  • Support Board members’ onboarding and ongoing training to ensure alignment with organizational goals and governance standards.
  • Governance Support:
    • Advise the CEO and Board on governance best practices and ensure compliance with applicable laws and regulations.
    • Collaborate with the Board Chairs, Committee Chairs and the CEO on agenda development, and the development and maintenance of the board calendar, including meetings, retreats and strategic planning sessions.
    • Support policy development and oversee the maintenance of governance and operational policies, procedures and documentation.
    • Support the maintenance of the organization’s Imagine Canada accreditation.
    • Ensure timely follow up on action items arising from meetings.
  • Secretarial Duties:
    • Prepare and coordinate the preparation of packages for Board and committee meetings.
    • Prepare, distribute and file Board and committee meeting agendas, minutes and reports.
    • Maintain corporate records, including meeting minutes and documentation, bylaws and Board member agreements.
    • Ensure compliance with filing deadlines, such as regulatory and legal documentation.
  • Strategic Collaboration:
    • Work with the CEO and the Boards and committees to ensure alignment with organizational priorities.
    • Assist with Board evaluations and performance assessments to identify areas for improvement.
    • Support succession planning and recruitment for Board members.
  • Operational Efficiency:
    • Support Senior Management with ongoing Board activities and requirements, as needed.
    • Assist the Communications & Marketing Team in the logistics for board meetings, including venue, technology and materials preparation.
    • Address inquiries and resolve issues related to the Boards.

    Desired experience and qualifications

    • Bachelor’s degree in Business Administration, Law, Public Administration or a related field; Master’s degree preferred.
    • 5+ years of experience in governance, board administration or a related field.
    • Certification in governance (e.g., Governance Professionals of Canada (GPC) designation) is an asset.
    • Proven experience in working with Senior Management Team and board members.

    Competencies and skills

    • Governance Expertise: Knowledge of governance frameworks, regulatory requirements and best practices in board operations.
    • Communication Skills: Excellent written and verbal communication skills to ensure clear and effective interactions with Board members and Senior Management Team; bilingual in French and English an asset.
    • Interpersonal Skills: Strong relationship-building abilities to foster collaboration and trust among stakeholders.
    • Organizational Skills: Highly detail-oriented with the ability to manage multiple tasks, deadlines and competing priorities.
    • Analytical Thinking: Capacity to evaluate complex information and provide sound recommendations to the Boards.
    • Discretion and Integrity: Maintain confidentiality and act with integrity in all governance-related matters.
    • Technological Proficiency: Familiarity with board management software, virtual meeting tools and document management systems.

    Compensation package

    We offer a compensation package that includes:

    • Hiring salary of $83,300 per year
    • Contributions to group RRSP
    • Insurance: health, dental, long-term disability and life insurance

    • Flexible work location (within Canada) and hours of work
    • Generous paid vacation, holidays and sick leave.
