What you’ll do
Perform a variety of legal and administrative duties while coordinating and assisting lawyers with assigned matters
Prepare routine minute book documentation and maintain minute book for the trust and its subsidiaries
Prepare and file articles and corporate documentation relating to incorporation, amendments, dissolutions and other corporate transactions particularly under the CBCA, OBCA and other provincial jurisdictions
Maintain database (CorpLink) of Trust and all subsidiaries
Prepare and file annual returns, business name, partnerships and limited partnerships registrations
Prepare and maintain securities filings as required (SEDAR, SEDI, TSX)
Conduct corporate reviews and other related due diligence in connection with transactions, recommending and drafting supporting documentation as necessary
Prepare corporate structure charts to accurately identify voting and participating interests
Monitor and communicate with lawyers with respect to ongoing corporate filings and other requirements
Consult with lawyers and assists in identifying necessary or appropriate corporate documentation, searches, and filings in connection with transactions and other corporate requirements
Support the Corporate Secretary and Assistant Corporate Secretary by coordinating trustee calendars, preparing the meeting agendas, preparing, editing, reviewing and coordinating materials/presentations for the Board and its Committees, including uploading documentation to Diligent, preparing resolutions and minutes
Contribute to the development of Corporate Secretariat precedents
Assisting in the coordination of the annual general meeting
Process and maintain record of legal spend
Preparing and attending to execution of documents
Establish and manage strong internal client relationships
Strong knowledge and understanding of the business
Proactively identify issues and recommend solutions
What you bring
Completion of law clerk program recognized by the Institute of Law Clerks of
Ontario
6-10 years of related experience in a law firm or in-house legal department,
preferably at a public company
A Member in good standing with the Institute of Law Clerks of Ontario
In depth knowledge and understanding of the corporate statutes
Superior administrative, organizational and time management skills
Superior computer skills, including but not limited to Word, Outlook, Power
Point, Diligent and corporate databases (CorpLink)
Superior written and oral communication skills
Superior research and problem-solving skills
Detail oriented, hardworking, and self-motivated
Ability to work independently with minimal supervision from lawyer
Experience with extra-provincial record keeping is an asset
