Job summary

HSB Canada, part of Munich Re, seeks a Manager, Contracts and Ceded Reinsurance to lead the full lifecycle of reinsurance contracts. You will negotiate terms, ensure regulatory compliance, and partner with internal teams to support product development and partnerships.

You will drive process improvements, manage risk, and collaborate with legal and finance to mitigate exposure in a fast-paced environment. Hybrid work in Toronto is offered.

Qualifications

  • Post-secondary education in law, business, insurance or related field; legal background preferred.
  • 7-10+ years in (re)insurance contract management, underwriting or legal/compliance.
  • Experience drafting/negotiating assumed or ceded reinsurance and broker/MGA contracts.
  • CIP/FCIP designation considered an asset.
  • Strong knowledge of Canadian insurance regulations and reinsurance practices.
  • Proven negotiation, drafting, and contract interpretation skills.
  • Excellent written and verbal communication for executive/non-legal audiences.
  • Ability to manage competing priorities in a fast-paced environment.
  • Strong analytical and problem-solving skills with detail orientation.
  • Knowledge of insurance and reinsurance coverages.
  • Proficient in Word and Excel; familiarity with internal systems is a plus.
  • Bilingual in English and French preferred but not mandatory.

Responsibilities

  • Oversee end-to-end lifecycle management of direct, assumed, and ceded reinsurance contracts and related documents.
  • Draft, review, execute, and renew contract terms in line with standards and regulatory requirements.
  • Maintain a repository of contracts with milestones, expirations, and renewals.
  • Lead negotiations as contract representative with executives, partners, clients, and reinsurers.
  • Balance client/partner requests with corporate strategy and risk appetite.
  • Ensure contracts comply with Canadian regulatory requirements and internal standards.
  • Identify contractual risks and work with legal/compliance/finance to mitigate exposure.
  • Monitor regulatory developments and update templates and processes accordingly.
  • Develop and maintain a continuous improvement plan to boost efficiency and turnaround times.
  • Champion digital/process innovations to improve workflows and client experience.
  • Provide legal/compliance support for new product development, review of forms/guidelines/materials.
  • Support review/negotiation of partnerships and distribution agreements.
  • Collaborate with business units on new initiatives from a contract/compliance perspective.
  • Participate in cross-functional projects with SME on contract structure and risk.

Primary Objectives:

The Manager, Contracts and Ceded Reinsurance plays a critical role within HSB Canada's Corporate Underwriting team. This position is responsible for the full lifecycle management of direct, assumed, and ceded reinsurance contracts, and serves as the primary contract authority across the organization. The Manager drives contract strategy, ensures regulatory compliance, leads negotiations, and partners with internal business units to support new product development, business initiatives, and partnership agreements. This position reports to Assistant Vice President Corporate Underwriting.

Job Responsibilities:
Contract Lifecycle Management
  • Oversee end-to-end lifecycle management of all direct, assumed, and ceded reinsurance contracts, policy forms, and related legal documents handled by the group.
  • Ensure the timely drafting, review, execution, and renewal of contract terms and conditions in alignment with HSB Canada and Munich Re standards, regulatory requirements, and document retention policies.
  • Maintain an accurate and up-to-date repository of all contracts, tracking key milestones, expiration dates, and renewal obligations.
Leadership & Stakeholder Engagement
  • Act as the lead (re)insurance contract representative for HSB Canada, engaging with executive leadership, business unit heads, external partners, clients, and reinsurers.
  • Build and maintain trusted relationships with internal and external stakeholders, providing clear and effective communication on contract matters, risks, and obligations.
Contract Interpretation
  • Serve as lead negotiator on (re)insurance contracts, advocating for HSB Canada's interests while maintaining productive relationships with clients, cedants, and reinsurance counterparties
  • Effectively balance client and partner requests against HSB Canada's corporate strategies, risk appetite, and legal obligations.
Compliance & Risk Management
  • Ensure all contracts comply with applicable regulatory requirements across Canadian jurisdictions, as well as HSB and Munich Re internal standards and governance frameworks.
  • Identify contractual risks and work with legal, compliance, and finance teams to mitigate exposure.
  • Monitor regulatory developments affecting (re)insurance contracts and proactively update contract templates and processes accordingly.
Process Improvement & Operational Efficiency
  • Develop, implement, and maintain a continuous improvement plan aimed at driving efficiency, reducing contract turnaround time, and enhancing overall contract management processes.
  • Champion digital and process innovation initiatives to streamline contract workflows and improve the client and partner experience.
Product Development & Legal Support
  • Collaborate with business units to provide legal and compliance support for new product development and implementation, including review of policy forms, wordings, underwriting guidelines, marketing materials, and training content.
  • Support the review and negotiation of partnership agreements, distribution agreements, and other commercial contracts.
  • Partner with legal counsel as needed to resolve complex contractual or regulatory issues.
Business Initiative Support
  • Act as a key partner in evaluating and supporting new business initiatives, strategic partnerships, and product launches from a contract and compliance perspective.
  • Contribute to cross-functional project teams, providing subject matter expertise on contract structure, terms, and risk considerations.
Qualifications:
  • Post-secondary education in law, business, insurance, or a related field; a legal background is preferred
  • 7-10+ years of progressive experience in (re)insurance contract management, underwriting, or related legal/compliance role.
  • Previous experience with drafting and negotiating assumed or ceded reinsurance and broker/MGA contracts is required
  • CIP/FCIP designation is considered an asset
  • Strong knowledge of Canadian insurance regulations and reinsurance market practices.
  • Proven negotiation, drafting, and contract interpretation skills.
  • Excellent written and verbal communication skills, with the ability to present complex contract matters clearly to executive and non-legal audiences.
  • Demonstrated ability to manage competing priorities in a fast-paced environment.

Our base salary range for this role is between $142,650 and $166,425 per year , plus an opportunity for an annual company bonus based upon a percentage of eligible pay. The salary estimate displayed represents the typical salary range for candidates hired in this position.
