What is a Local Resident Director?

A local resident director helps a foreign-owned company in your country manage certain local affairs to fulfill corporate responsibilities. This role is strictly non-executive and exists solely to satisfy legal and regulatory requirements. The director must comply with local laws but has no operational obligations.

Qualifications

• Over 3 years of experience in law, accounting, or tax
• Willing to learn local rules and regulations
• Must pass a background check
• Preferably a locally licensed attorney or accountant
• Must reside in Canada

Duties of This Role

Duties depend on the company's needs and may include:

• Act in good faith and in the company's best interest
• Convene mandatory meetings and file annual returns
• Maintain statutory records
• Assist with opening a local bank account
• The term for a Resident Director is set at half a year or one year. Responsibilities include establishing the company's bank account and ensuring compliance, without involvement in daily operations. Details and resumes will be shared upon service agreement.

Risk Mitigation

To ensure compliance and reduce risks, Flatfee requires:

• Client's business must be compliant
• All directors must pass background checks
• Indemnification issued by the client
• Director acts per local law; client controls the board
• Legal contracts include responsibilities and liabilities

Time Commitment

This is a contract opportunity with less than 5 hours per month, mainly during onboarding.
